Position Overview:
The Company Secretary Manager play a pivotal role in supporting the Head of Department in ensuring effective corporate governance, regulatory compliance, and company secretarial services. This position involves overseeing departmental operations, managing compliance activities, and fulfilling responsibilities as a professional local Director and Company Secretary (if required), as well as utilizing personal memberships to facilitate registration as a Qualified Individual and Registered Filing Agent.
Key Responsibilities:
- Supervise and coordinate the activities of the company secretary department, ensuring efficient workflow and adherence to timelines.
- Manage portfolios of clients assigned by providing corporate secretarial and administrative support to clients with minimal supervision.
- Handle the full spectrum of company secretarial duties.
- Ensure adherence to relevant laws, regulations, and corporate governance principles in all company activities.
- Act as a professional local Director in designated companies, exercising fiduciary duties and acting in the best interests of the companies represented.
- Act as Company Secretary in designated companies, exercising and acting duties of company secretary as per ACRA’s requirements.
- Register as a Qualified Individual, fulfilling legal obligations and responsibilities.
- Register as a Registered Filing Agent for filing purposes, ensuring compliance with regulatory filing requirements.
- Serve as a primary point of contact for clients, addressing inquiries, providing guidance on compliance matters, and ensuring high levels of client satisfaction.
- Identify potential compliance risks and vulnerabilities within the organization, conducting risk assessments and implementing mitigation strategies.
Requirements
- Qualified Chartered Secretary with a minimum of 4 years of experience, with at least 1 to 2 years in a managerial role in a professional firm.
- Good understanding of the Singapore Companies Act.
- Strong interpersonal skills and customer service skills.
- Able to multitask and work in a dynamic and fast-paced environment
