Key Responsibilities:

1. Board Support & Corporate Governance

• Organize and schedule board meetings, annual general meetings (AGMs), and extraordinary general meetings (EGMs), ensuring proper notice and distribution of agendas.
• Prepare, distribute, and archive meeting minutes, resolutions, and related documentation.
• Monitor the implementation of Board decisions and provide updates on action items.

2. Legal and Regulatory Compliance

• File and manage all necessary statutory forms and annual returns with the relevant authorities (e.g., ACRA, SEC, Companies Registry).
• Monitor legal and regulatory changes that affect the organization and ensure timely compliance.
• Maintain statutory books, including the register of members, directors, secretaries, and beneficial owners.
• Act as the liaison officer for legal matters with regulatory authorities, external lawyers, and stakeholders.

3. Administrative and Operational Support

• Manage the company seal and oversee the execution of legal documents.
• Draft and review corporate documents, including agreements, contracts, and policies.
• Maintain a systematic filing system for all corporate documents, ensuring easy access and retrieval.
• Oversee the administration of shareholding structures, issuance of share certificates, and transfers.

4. Shareholder and Stakeholder Relations

• Ensure the smooth organization of AGMs, including coordinating proxies, voting, and shareholder queries.
• Manage shareholder communications, including notices, dividend payments, and updates on company performance.
• Respond promptly to inquiries from stakeholders, regulatory bodies, and external parties.

5. Risk Management

• Maintain a risk register and work with relevant departments to identify and mitigate risks.
• Develop and monitor compliance checklists for various statutory requirements.
• Support internal audits and liaise with auditors to provide necessary documentation.

6. Human Resource and Corporate Training Support

• Maintain and update employment contracts, handbooks, and HR-related policies.
• Organize training sessions for directors and employees on corporate governance, compliance, and new regulations.
• Support the onboarding of directors, ensuring they are aware of company policies and governance structures.

7. Reporting and Communication

• Prepare reports for the Board, highlighting governance and compliance updates.

Qualifications and Skills:

Education & Certification

• Bachelor’s degree in Business Administration, Law, Corporate Governance, or a related field.
• Professional qualification as a Chartered Secretary (e.g., ICSA, CSQS) or equivalent is highly desirable.

Experience

• Minimum 2 years of relevant experience as a Corporate Secretary.
• Strong understanding of corporate law, governance frameworks, and regulatory compliance requirements.

Supports CEO in his/her role as the executive officer of DPH in areas of corporate governance, Governing Council and its Executive Committee, enterprise risk and strategic planning inclusive of business continuity.

Corporate Governance:

1. Annual corporate cycle: Ensure it operates smoothly and in a timely manner for formal decision making and reporting, including ensuring that an annual members meeting (and other formal public meetings) are held in accordance with all requirements. In coordinating and/or contributing to the production of all appropriate reports, forward plans, self-certifications and submissions to relevant regulatory bodies and ensure that they are published, where appropriate, and available for public. Manage legal and constitutionally compliant arrangements for elections to the Exco and Council and the appointment of stakeholders; manage the process for resignations and replacements between elections. Liaise with external service providers, as appropriate.
2. Compliance: Ensure compliance with all prevailing regulatory requirements and governances, with the expectations of a well governed charity. Operate all registers required by the Constitution or related legislation to be established and maintained and available for public inspection. Work with all relevant stakeholders to facilitate, add value to, and ensure all audit matters are run smoothly and appropriately closed.
3. Policy: Ensure that all organizational policies conform to prescribed templates and that changes to policies are reflected on DPH’s Document Management System.
4. Enterprise Risk Management (ERM) and Business Continuity Planning (BCP): Administer the risk management registers to be up to date and usable during contingencies in BCP. Work with respective risk owners to identify potential emerging internal and external risk trends, facilitating necessary follow-ups by the risk owners. Prepare dashboards and risk reports for regular presentation to Executive Team, Council, Executive Committee and the ARGC.

Administrative support to CEO and Council:

1. General Secretariat duties supporting the CEO: Inclusive but not limited to the meetings of the Executive Team (ET), Council, Executive Committee (Exco) and the Audit, Risk and Governance Committee (ARGC). Planning, preparation and timely submission of agendas, reports, supporting papers and minutes.
2. General Admin: Assist to coordinate induction and training of Exco and Council members as required. Be responsible for the day-to-day management of the database of members and ensuring the information is accurate and up-to-date. Ensure that all processing and storing of membership information complies with information governance and data protection requirements inspection.
3. Manage the CEO’s calendar.
4. Manage/maintain the corporate records and documents on DPH’s Document Management System.

Projects:

1. Undertake projects related to the ongoing improvement of the work of the CEO’s Office, including the archival and order of documents and policies or any that may improve the operations of the Exco or Council.

Wider Responsibilities:

1. From time to time, to be part of teams for specific areas of work, including organization events and projects.

Other Requirements

• Holder of CSIS or equivalent certification or currently pursuing CSIS courses. Those who do not hold relevant qualifications are also welcome to apply

Ideal Candidate

• Bachelor's degree in Business Administration, Accounting, Finance or any quantitative fields preferred in reputable universities.
• Should have at least 2 years of managerial &/or senior coordinator experience in relevant industries like medical aesthetics, healthcare or wellness.
• Excellent in communication with seniors, peers, team members as well as customers and external parties.
• Fluency in both English and Chinese will be required as the role requires liaison with our Chinese counterparts.
• Ability to solve problems or recommend solutions to decision makers using analytical approach and quantitative analysis.
• Proven ability in creating results through conducting weekly meetings and initiating ad-hoc meetings.
• Strong in presentation skills both to the directors and to frontline staff during weekly meetings.
• Proficient in using flow charting, tables, charting and PowerPoint to present ideas to assist directors and communicate analysis and recommendations to decision makers.
• Savvy with digital and IT tools. Prior experience with Google workspace, Google doc / Gsheet, 365 Ms word, excel, GenAi will be an advantage.
• Pleasant personality, energetic, demonstrated maturity, integrity, results-oriented and being able to work independently as well as being an effective team player.
• High attention to detail and accuracy; ability to think strategically in a dynamic, fast-paced environment.

Job Responsibilities

• Liaise with external parties such as banks, government agencies, corporate secretaries, auditors, and other stakeholders to fortify professional relationships and ensure compliance.
• Liaison with directors and assist to initiate, monitor and implement new corporate initiatives.
