Job Description & Requirements

You shall support and report to the Secretarial Executive.

Your duties includes the following:

• Handle a portfolio of corporate secretarial matters (both Singapore and overseas) including but not limited to the preparation of directors’ resolutions, assisting in the organizing of papers for board meetings and preparation of board minutes, Bizfile+ filings with ACRA and release of SGXNet announcements

• Ensure that statutory and regulatory requirements are met

• Registers and minute books and database of corporate secretarial precedents are updated

• Liaise with auditors and other stakeholders for information and documents

• Preparation of XBRL in full set

• meet task timeline/due date

We are looking for a Singaporean/PR. No experience is welcomed. Training will be provided. Able to communicate with colleagues for work flow and timeline. Able to communicate with client to request for necessary secretarial related document. Good record keeping habit and skill. Good teamplayer. Able to handle mandarin clients.

We arrange working from home twice a month.

Starting salary: $2,800 to $3,000

Job Summary:

The Assistant Counsel is responsible for assisting the Legal Counsel in managing all legal issues related to the company, including negotiation of contractual terms, dispute resolution issues, administration of standard contract templates, staff training and occasional corporate secretarial duties.

Responsibilities:

Providing legal and administrative support to the Legal Counsel for the duties below:

Legal and contract management

• Develop and maintain standard contract templates to support the business operations of the company
• Review and negotiate contractual clauses
• Review and comment on financing documents and accordingly liaise with Lenders’ Counsel
• Monitor and ensure compliance with project financing covenants
• Provide legal opinions to senior management on the impact of key clauses in the contracts
• Keep abreast of the legal framework in Singapore, particularly legal developments that affect the energy industry in Singapore, and ensure compliance with relevant laws and regulations
• Ensure the implementation of a robust contract management system
• Participate in settlement discussions during the dispute resolution process with vendors

Governance

• Assist the Board in legal issues and advise on governance matters

External

• Liaise with external law firms where necessary

A Research Assistant position is currently available in the College of Business, Nanyang Business School.

Key Responsibilities:

• Conducting legal research from latest literature (ie, legislation and other relevant material, case law, journal articles, annual reports etc)
• Organising and summarizing research materials
• Preparing summaries, draft reports/ papers etc
• Supporting in research data and information collection and collation, including compiling related data from relevant databases or other source materials
• Providing other assistance and engaging in administrative tasks where required relating to ongoing or new research projects

Job Requirements:

• Graduand or graduate of a Bachelor degree in Law, or is in the final semester of studies from a reputable university, preferably in a common law jurisdiction such as Singapore
• Good command of English and be highlight competent in conducting legal research on legal issues relevant to Singapore and other common law jurisdictions
• Interest in corporate law corporate governance, securities regulation or sustainability/ ESG reporting is a bonus
• Familiar with Excel and be willing to learn how to use various online tools and platforms that may be relevant to research tasks
• Knowledge and interest in at least one of the following corporate law, corporate governance, securities regulation or sustainability/ ESG reporting
• Communicate well in person and in writing
• Able to work independently
• Organised
• Able to work well with others
