Job Responsibilities:

To be responsible for a portfolio of Bank’s corporate clients (with portfolio diversified across various sector) and to analyse and make recommendations on counterparty transaction proposals submitted by the Business for existing or new clients. Given MUFG Bank growth aspirations, transaction size and/or complexity, many transactions including new clients will require early engagement and close cooperation across different Business areas and support functions, in order to support and guide the Business in respect to risk appetite, due diligence, structuring, financial modelling and risk assessment. • Provide strategic direction and support towards organisational and departmental objective achievements by closely collaborating with the key stakeholders on a dynamic basis.
• Evaluation of credit applications, internal ratings and transaction proposals for new or existing corporate and/or financial institution clients in A&O with focus on Corporate related transactions. • Work collegiately with all stakeholders across divisions and jurisdictions, building a network of trusted relationships. Work closely with the Business and attend meetings with them on transactions, providing clarity and strong guidance and direction on risk appetite.
• Active involvement in term sheet, loan documentation and ISDA/CSA review and discussions with Business stakeholders, influencing where appropriate content and credit terms, ensuring these are acceptable from a risk and commercial standpoint.
• Proactively keep track of the various sector developments and monitor allocated portfolio and clients from a client specific as well as a sector and country perspective, and where issues are identified, flagging these with relevant Business and ICD stakeholders. Formulate mitigating actions where material risk issues arise.
• Support new initiatives by the Business providing guidance from a risk perspective. Involvement where appropriate in the development of credit and policy guidelines and participation and support on assigned projects including contribution to change initiatives to drive efficiencies.
• Involvement in various initiatives and projects including change of policies, procedures liaising with relevant stakeholders in the Region and also in Tokyo Head Office.

Job Requirements:

• At least 7 years of corporate credit experience within the banking/financial institution industry (Vice President).
• Experience in the analysis and documentation of traditional lending, trade finance, structured transactions and traded products, including derivatives and securities financing transactions.
• Experience in risk analysis and formulating recommendations on credit proposals across a broad range of client types, including corporates, preferably across a number of jurisdictions in Asia and/or Oceania.
• Experience in assessing M&A and leveraged finance will be viewed favourably, as well as experience in dealing with deteriorating and/or impaired loans.

Position Overview

We are searching for an experienced private credit transactional lawyer who will handle a wide range of transactions for our royalty and private credit funds, all investing in pharmaceuticals, MedTech & Healthcare Services sectors. The successful candidate will report to the Managing Director (Legal, based in Shanghai) overseeing the transaction execution.

Functions and Responsibilities

• Provide day-to-day support to CBC private credit, capital solutions, portfolio finance, private placement and deal teams and portfolio teams on issues related to investments in private credit, structured finance, loans, capital solutions, portfolio investments. Work will include negotiating term sheets (with or without access to external counsel), advising on key legal and commercial issues, advising on the legal structure of transactions and high-level local law considerations, assisting with executing transactions and instructing and liaising with external counsel.
• Provide internal legal advice and work closely with external counsel on matters relating to the Private Credit business such as capital call or fund leverage facilities for the CBC investment funds, or general investor queries.
• Build relationships with and work alongside teams within the business including Investment, Investor Relations, Operations, Compliance functions and other members of the Global Legal Team, as appropriate.

Qualifications

• Strong legal technical skills and commercial awareness;
• Experience with credit documentation including grids, term sheets and commitment letters, facilities agreements, intercreditor agreements and note purchase agreements.
• Familiarity with Loan Market Association standard documents required.
• Familiarity with distressed credits and support for workouts and restructurings a plus.

Your role:

As a member of Loan Ops and Documentation team supporting Australia booking center within GWM APAC Operations Hub, the team’s key responsibilities include:

• Preparation and checking of credit documentation for Australia GWM credit products such as Lombard, Mortgage and Structured transactions. • Prepare detailed financial models to support strategic initiatives, including capital structure optimization, budgeting, and forecasting.
• Analyze and evaluate investment opportunities, providing recommendations to senior management.

Credit Risk Assessment:

• Conduct comprehensive credit risk assessments for corporate clients, including evaluating financial statements, cash flow, and collateral.
• Develop credit risk models to assess the probability of default and loss given default.
• Monitor and manage the company’s credit portfolio to ensure compliance with risk appetite and regulatory requirements.

Financial Planning & Analysis (FP&A):

• Lead the preparation of financial forecasts, budgets, and long-term financial plans.
• Analyze financial performance, identify trends, and provide actionable insights to support decision-making.
• Collaborate with business units to develop and track key performance indicators (KPIs).

Mergers & Acquisitions (M&A):

• Support M&A activities, including due diligence, financial modeling, and valuation analysis.
• Participate in negotiations and the structuring of transactions.
• Prepare detailed reports and presentations for senior management and stakeholders.

Debt Capital Markets (DCM):

• Assist in structuring, negotiating, and executing debt transactions, including bonds, loans, and other credit facilities.
• Work closely with investment banks, legal advisors, and other stakeholders to secure favorable financing terms.
• Monitor market conditions, assess the impact of interest rate changes, and provide insights on optimal debt issuance strategies.

Debt Pack Modeling:

• Develop and maintain detailed debt models, including sensitivity analyses and scenario planning.
• Prepare comprehensive debt packs for internal and external stakeholders, summarizing key terms, covenants, and financial metrics.
• Analyze debt repayment schedules, interest coverage ratios, and other critical metrics to ensure the company maintains a healthy financial position.

Key Requirements:

You possess a bachelor’s degree in finance, Economics, Accounting, or a related field with at least 2 to 3 years of experience in related functions such as FP&A, M&A and Corporate Finance. You have a good understanding of banking regulations, credit risk management frameworks and financial modeling with advanced excel skills.
