Purpose and Scope

Scrutinize and review major investments and advise on legal risk in industrial parks, ready built factories/warehouses (RBF/RBW) and commercial and residential property projects including M&A / divestments, corporate restructuring, leases and other contracting requirements for day-to-day business.

Key Roles and Responsibilities

• Advising on Joint Venture matters (including JV governance).
• Liaise with business units on governance and compliance related matters in respect of frameworks and policies initiated by the Sembcorp Group Legal and Group Ethics & Compliance function (including anti-bribery/corruption) supporting the rollout of these policies (including assistance with training) and implement and monitor compliance on such policies and frameworks.
• Assess the impact of new/amended regulations on the business and present to the managements appropriate steps that may be taken in countering the impact and/meeting legal requirements.
• Participate actively in front line negotiations and interface with customers, business partners, suppliers, contractors etc.
• Work with Sembcorp Urban and Sembcorp Group functional teams i.e. Finance, Business Development, Procurement and other corporate services units in identifying, mitigating and managing legal and compliance risks on activities, businesses and projects.
• Understanding the commercial objectives, strategy, pressure points of the business, reasonable operational knowledge with a view to identifying and assessing the risks and legal issues involved, and effectively communicating this to the business unit or project team to enable them to make well-informed business decisions.
• Liaising with external counsel, regulators, and other stakeholders to ensure the Company's legal and regulatory obligations are met.
• Handling pre-litigation legal disputes and inquiries and (where necessary) representing the Company in the litigation and other legal procedures
• Provide legal support and advice to senior management and all internal stakeholders on legal and compliance matters.
• Lead or support other projects and tasks as may be required from time to time.

Qualification, Skills, and Experience

• Bachelor’s degree in laws (or equivalent) and admitted as a lawyer in Singapore.
• Minimum 6-8 years of relevant legal working experience. Experience working in the real estate industry on cross border matters and working with an international multi-national company would be an advantage.
• Experience with projects in Indonesia, Vietnam or India and/or ability to speak Bahasa Indonesia or Vietnamese would be an advantage.
• Excellent communication skills in English (written and spoken)
• Good knowledge of commercial law especially land law, the law on enterprises, the law on investment. Knowledge and experience with cross border transactions would be an advantage. Experience with corporate structuring in a property business would be an advantage.
• Proficiency in MS Office (Word, Excel, PPT)
• Strong problem solving, organizational and analytical skills.
• Pro-active, possess utmost integrity and honesty, have a flair for legal work.
• Ability to work independently and take on problems which have no precedent or clear options available.
• Willing to travel when required.

Primary responsibility:

• Responsible for the accounting processes and documentation and all entries thereto including posting General Journals; ensuring that all ledgers, GL, AR, AP, WIP, Assets, Inventories and Liabilities are reviewed and reconciled monthly.

• Ensure timely ACRA, XBRL and all statutory compliance filings.
• Responsible for Business Central Dynamics ERP systems – troubleshoot BC problems and assist in support throughout the organization.
• Direct supervision of Accountants and Finance dept workflow processes to ensure timeliness, accuracy, and reconciliation of all accounts.
• Develop and foster a motivated team atmosphere within the finance and accounting staff.

Secondary responsibility:

• Assist the CFO on Board matters such as resolutions for guarantees, and ad-hoc reports as required, etc.

Experience

• Prior external audit experience at one of the Big 4 accounting firms with a deep understanding of compliance, internal controls and financial reporting standards.
• Experience in managing financial budgets of multiple projects.

Qualification

• Degree in Accountancy, ACCA, or recognized Chartered Accountant (CA) qualification.
