Our client is a renowned commodity MNC with an international presence.
They are seeking a highly skilled and experienced ISDA Negotiator to join their team. This individual will be responsible for negotiating, drafting, and reviewing International Swaps and Derivatives Association (ISDA) agreements and related documentation. The ideal candidate will possess deep knowledge of financial markets, derivatives, and associated legal frameworks, including those relevant to power trading and carbon emissions trading.
Key Responsibilities
- Have strong technical knowledge to negotiate, draft, review, and manage complex master agreement negotiations independently, including ISDA Master Agreements, Credit Support Annexes (CSAs), Master Confirmation Agreements, AFMA Agreements, documentation related to power trading and carbon emissions trading, and other ISDA related documentation with counterparties.
- Ensure compliance with relevant regulations and internal policies in all documentation.
- Work closely with internal stakeholders, including legal, credit, tax, trading and confirmations teams, to address and resolve any issues that arise during negotiations.
- Review of legal opinions on netting and collateral enforceability.
- Identify potential risks in ISDA agreements and work with relevant teams to mitigate these risks.
- Review and analyse the legal and credit implications of proposed terms and conditions in ISDA agreements and CSAs.
- Assist in the development and implementation of risk management policies and procedures related to ISDA documentation.
- Negotiate directly with counterparties on all ISDA related documents, and finalisation thereafter.
- General contract reviews, negotiations, amendments and finalisation - e.g. Non-Disclosure Agreements, Parent Company Guarantees, Letters of Intent, Memorandum of Understanding etc.
- Any other matters as assigned by Chief Legal Counsel - Asia Pacific from time to time.
Legal and Regulatory Compliance
- Stay updated on changes in laws and regulations affecting derivatives trading and ISDA documentation.
- Advise internal teams on regulatory developments and their potential impact on trading activities and documentation.
- Ensure that all negotiated agreements are in line with current regulatory requirements and best practices.
Stakeholder Management
- Serve as the primary point of contact for counterparties during ISDA negotiations.
- Collaborate with internal departments to streamline the negotiation process and improve efficiency.
- Build and maintain strong relationships with external legal counsel, counterparties, and other key stakeholders.
You will play a key role in supporting their team of experienced traders while learning the ropes, developing our own portfolio. Your priorities will include:
- Handling pre and post-sale operations and administrative tasks
- Setting up new accounts, KYC clearance and liaising with credit department etc.
- Assist the team in managing client accounts
- Developing and maintaining a portfolio of marine fuel clients within the shipping industry
- Price quoting, fixing, and post-delivery service
- Preparing daily price reports for clients
Qualifications
- Bachelor’s degree in Law, Finance, Business, or a related field or equivalent legal qualification is highly desirable.
- Minimum of 5 years of experience in negotiating ISDA agreements and related documentation.
- In-depth understanding of general contract law, derivatives, financial markets, and associated legal frameworks, including those relevant to power trading and carbon emissions trading.
- Experience working in a legal or compliance role within a financial institution or commodity trading companies is preferred.
