We are seeking a highly organized and detail-oriented Corporate Secretary to join our team. The successful candidate will be responsible for ensuring the company's compliance with all applicable laws and regulations. This role involves managing corporate meetings, maintaining statutory records, handling statutory filings, and providing general administrative support to the legal/company secretarial team.
What you will be doing:
Corporate Governance and Meetings:
· Prepare and circulate agendas, notices, and other materials for board meetings, committee meetings, and shareholder meetings.
· Attend meetings, take accurate minutes, and ensure timely distribution to relevant parties.
· Draft and circulate resolutions (directors' and shareholders') and maintain related records.
· Maintain statutory registers (e.g., register of members, register of directors) and other corporate records in accordance with legal requirements and best practices.
Statutory Compliance:
· Prepare, review, and submit statutory filings to relevant authorities across multiple jurisdictions.
· Monitor deadlines and ensure compliance with all applicable laws and regulations.
· Stay abreast of regulatory changes and updates impacting corporate compliance.
Compliance Support:
· Assist with Know Your Customer (KYC) and Anti-Money Laundering (AML) procedures and requests.
· Contribute to the development and improvement of corporate compliance policies and procedures.
· Classify, archive, and manage controlled documents according to the company's document management system and retention policies.
Registered Office Management:
· Manage mail received at the company's registered office(s), including collection, sorting, scanning, and distribution.
· Ensure timely and appropriate handling of all correspondence.
What we are looking for:
· Diploma in Law, Business Administration, or a related field. (A professional qualification in company secretarial practice (e.g., ICSA) would be advantageous.)
· At least 3 years of relevant experience, preferably with a corporate service provider, law firm, or in a similar in-house role.
· Strong knowledge of company law and corporate governance principles in Singapore and other relevant jurisdictions.
· Experience with statutory filings and regulatory compliance in multiple jurisdictions.
· Excellent communication, interpersonal, and organizational skills.
· Ability to work independently and as part of a team.
· Meticulous attention to detail and strong time management skills.
· Proficiency in Microsoft Office Suite.
