Job Description

The main objective of the department is to assist the CRO’s Office in the management of MC Branch offices and subsidiaries in the Asia-Oceania region, of its related activities and support our senior executives in our head office in Tokyo on the aspect of internal legal services.

In doing so, you will collaborate deeply with our colleagues in our head office in Tokyo, as well as our branch offices and subsidiaries in the Asia-Oceania region. Building and developing networks with the local counterparts and government authorities where necessary. You are expected to support by providing sound legal advice for branch offices and subsidiaries in Asia-Oceania region, in addition to the management of corporate compliance. The roles include but not limited to the followings:

• To review, comment on, modify and/or draft contracts and/or agreements which includes, but not limited to, NDAs, service agreements, consultant agreements, sale and purchase agreements, lease agreements, employment contracts, secondment agreements, charterparties, ISDA Master Agreements and their Schedules and Confirmations, amendment agreements, and/or parent company guarantees.
• To conduct legal research and give legal advice to Mitsubishi Corporation and its group companies in Asia (our office covers 13 south-east and south-west Asian countries) which includes advice on companies law, commercial law, labor law, insolvency law, competition law, anti-bribery law, law on export controls and personal data protection law.
• To handle claims and/or legal disputes.
• To conduct internal investigations on compliance related matters and write reports in Japanese to headquarters of Mitsubishi Corporation in Tokyo (“Tokyo HQ”).
• To conduct seminars on legal, compliance, general administration and/or sustainability & CSR related topics (in English and/or Japanese).
• To keep updated as to important legal, compliance and/or sustainability & CSR related information including changes in important laws and regulations in Asia.
• To share legal and/or compliance related information with Tokyo HQ and/or Mitsubishi Corporation’s group companies in Asia.
• To draft or review internal rules of Mitsubishi Corporation’s group companies in Asia-Oceania region.
• To implement any compliance related program.
• To collect law firms’ information and keeping good relationship with law firms in Asia-Oceania region.
• To closely co-work with Tokyo HQ in connection with legal, compliance, general administration, public relations and/or sustainability & CSR related matters.
• Any other legal, compliance, general administration, public relations and/or sustainability & CSR related matters assigned by Department Head of Regional Legal & General Affairs Department.

Job Requirements

• Minimum Bachelor’s Degree in Legal Studies or equivalent
• Basic knowledge on companies law, commercial law, labor law, insolvency law, competition law and anti-bribery law under English and/or US laws
• High proficiency in English language and Japanese language (JLPT Level N1 or ability to speak, read and write at business level) to communicate effectively through phone calls, emails and/or meetings with the head offices in Tokyo, as well as both local and expatriate staff in the branch offices and subsidiary companies
• Skills to create and present materials both in Japanese and English to communicate effectively with counterparties
• More than 2-year experience in abovementioned requirements

Purpose and Scope

Scrutinize and review major investments and advise on legal risk in industrial parks, ready built factories/warehouses (RBF/RBW) and commercial and residential property projects including M&A / divestments, corporate restructuring, leases and other contracting requirements for day-to-day business.

Key Roles and Responsibilities

• Advising on Joint Venture matters (including JV governance).
• Liaise with business units on governance and compliance related matters in respect of frameworks and policies initiated by the Sembcorp Group Legal and Group Ethics & Compliance function (including anti-bribery/corruption) supporting the rollout of these policies (including assistance with training) and implement and monitor compliance on such policies and frameworks.
• Assess the impact of new/amended regulations on the business and present to the managements appropriate steps that may be taken in countering the impact and/meeting legal requirements.
• Participate actively in front line negotiations and interface with customers, business partners, suppliers, contractors etc.
• Work with Sembcorp Urban and Sembcorp Group functional teams i.e. Finance, Business Development, Procurement and other corporate services units in identifying, mitigating and managing legal and compliance risks on activities, businesses and projects.
• Understanding the commercial objectives, strategy, pressure points of the business, reasonable operational knowledge with a view to identifying and assessing the risks and legal issues involved, and effectively communicating this to the business unit or project team to enable them to make well-informed business decisions.
• Liaising with external counsel, regulators, and other stakeholders to ensure the Company's legal and regulatory obligations are met.
• Handling pre-litigation legal disputes and inquiries and (where necessary) representing the Company in the litigation and other legal procedures
• Provide legal support and advice to senior management and all internal stakeholders on legal and compliance matters.

Qualification, Skills, and Experience

• Bachelor’s degree in laws (or equivalent) and admitted as a lawyer in Singapore.
• Minimum 6-8 years of relevant legal working experience. Experience working in the real estate industry on cross border matters and working with an international multi-national company would be an advantage.
• Experience with projects in Indonesia, Vietnam or India and/or ability to speak Bahasa Indonesia or Vietnamese would be an advantage.
• Excellent communication skills in English (written and spoken)
• Good knowledge of commercial law especially land law, the law on enterprises, the law on investment. Knowledge and experience with cross border transactions would be an advantage. Experience with corporate structuring in a property business would be an advantage.
• Proficiency in MS Office (Word, Excel, PPT)
• Strong problem solving, organizational and analytical skills.

PURPOSE:

The Legal Counsel is to provide assigned business units with legal advice, to provide legal support to business activities and any strategic and operational matters and issues. 2. To review/draft contracts pertaining to the business including but not limited to supplier contracts, customer contracts, inter-company contracts as well as regional tenders, bids, international sales/service transactions as well contracts with a global / multi-jurisdictional perspective.
3. To negotiate with external parties (including but not limited to suppliers and customers of the Company) on legal issues and work to resolve any legal related matters arising between the Company and such external parties, suppliers or customers.

6. To raise and highlight all and any material legal issues to the supervisor / reporting manager / General Counsel and/or senior management whenever necessary.

Key Responsibilities:

1. Service Delivery

• Responsible for end-to-end service delivery

• Assist fee earners to update CVs, including those used in bids/proposals and online version used on the firm’s website (training available from the Business Development team)
• Effectively use the firm’s CRM system (Interaction) to add and amend fee earners’ client and contact data (training available from the Business Development team)
• Work in collaboration with fee earners and the Business Development team as required to provide support for in-person client events
• Support other ad-hoc requests from fee earners if required, such as:

1. Build and maintain effective relationships with the firm’s clients and their internal teams and developing knowledge of the Group's clients and their business
2. Research clients, potential clients and new business initiatives or opportunities at the discretion of the fee earners
3. Proactively identify and assist with business development opportunities

3. Project Management

• Open client files (including completing conflict searches and money laundering checks in conjunction with lawyers), prepare client engagement letters, collate all the relevant information required for file opening and maintain client files on a day-to-day basis (including filing where required)
• Manage production of documents (produced in-house and externally), coordinate changes made including taking responsibility for the consistency of those documents (e.g. formatting, numbering, CompareDocs, etc), utilise the DP as and when necessary
• Transcribe, edit and amend legal and other documents including marketing presentations and materials. Convert, compare, copy type and proofread the same as necessary, ensuring that documents comply with house style
• Assist lawyers with the billing process and ensuring timely submission of bills, including drawing up pre-bills, editing of narratives, preparing cover letters/emails and finalizing bills
• Prepare and submit lawyers' expenses in accordance with the firm's policies and follow up on authorisations
• Undertake regular reviews of files and documents to ensure all non-active files and documents are archived/stored off-site

Essential Duties & Responsibilities
