You will be reviewing and/or preparing documents involving external parties such as subscription agreements, and investor side letters. You will ensure compliance with applicable laws as well as implementing relevant process.

You will be leading and mentoring the compliance team, fostering a culture of integrity and ethical behaviour throughout the organization. You will oversee the development and implementation of a comprehensive compliance strategy and collaborate with senior management and the board of directors to report on compliance matters and develop strategic initiatives.

You will provide mentorship and supervision to the compliance team to formulate, implement and maintain group compliance policies and procedures (including but not limited to whistleblowing, outsourcing, gifts register, employee share trading register, AML/CFT, data protection, client onboarding, KYC, business continuity etc.) in accordance with Singapore and Foreign regulations where applicable. You will ensure that policies are effectively communicated and understood throughout the organization by the compliance team. You will monitor and interpret relevant laws, regulations, and industry standards to ensure the company's policies and procedures are up-to-date. You will ensure timely and accurate reporting by the compliance team to regulatory authorities (on regulatory requirements such as Annual Audited Returns, Financial Resources Requirement, General Notifications, Licensing, Incident Reporting, Suspicious Transactions Reporting (STR), Common Reporting Standard (CRS), etc), and manage relationships with external regulators.

You will provide mentorship and supervision in identifying and assessing compliance risks, implementing effective controls and mitigation strategies, oversee the conduct of regular audits and risk assessments to ensure adherence to compliance requirements and address any issues promptly. You will also be providing guidance to the compliance team to design and deliver compliance training programs. You will be leading and investigations into compliance violations or ethical concerns, ensuring thorough and objective resolutions and oversee the development and implementation of corrective action plans to address identified issues and prevent recurrence.

Requirements

You possess a Bachelor’s Degree in Law, from a reputable university in a Common Law based jurisdiction and comes with strong legal experience in corporate and commercial matters. You have about 7 - 10 years of relevant working experience in law firm and/or in-house/investment firm etc.

You have a sense of urgency and have able to thrive in a fast-paced environment.

You are resourceful and have some overseas transactions experience.

Duties and Responsibilities:

Legal:

- To provide in-house legal advice and guidance on applicable laws and regulations relevant to businesses of the entire portfolio of Consort Group (Group).

- Structure, review, negotiate and/or draft a broad spectrum of corporate and commercial agreements and documents with varying level of complexity.

- Aid company on asset (ship) financing matters.

- Aid external parties engaged on any Group structuring such as mergers & acquisitions and public listings.

- Strategic planning for the Group on handling government and regulatory affairs.

- Liaise and assist with external counsel in arbitration or claims dispute.

- Mediate and investigate disputes arising from casualties, groundings, and accidents at sea including any consequent ship arrests, marine pollution and salvage issues.

Compliance (Commercial and Trade):

- Compliance risk management, identifying areas of risk and making suggestions for improvement.

- Implement and update policies and procedures to standardise certain practices across the Group.

- Provide advice, review and carry out due diligence checks on trade sanctions documentations.

- Carry out the obligation of a Data Protection Officer including liaising with PDPC and data subjects within timeframes and assess Group privacy risk.

Miscellaneous:

- Assist Directors as when required on corporate secretarial matters.

- Any other ad-hoc tasks as assigned by management.

Requirement:

- Bachelor's Degree in Law

- At least 10 years of relevant in-house legal experience, preferably some exposure in oil & gas, bunkering or shipping industry.

- Works well within a team and independently, self-motivated, proactive and possess good analytical skills

- Able to provide clear advice and express opinions strongly if necessary.

- Excellent communication skills and able to work under pressure

- Possess strong work ethics, good organisation skills and ability to multi-task.

- Proficient in drafting various type of contracts and negotiating complex deals directly with clients and vendors.

- Proficient in both English and Chinese, with the ability to read and converse fluently in both languages.
