• Due diligence on prospective clients before taking up the proposals on board and at time of review which includes obtaining ACRA, D&B, status reports from banks, statements of accounts with existing banks and market reports. · Carry out credit rating of the customer as per internal rating model. Assessment of credit limits

• Assess the requirement of the borrower based on past performance and future trends, trade cycle, and cost of project (for project finance term loans).
• It is also based on credit strength of obligor and our borrower and group exposure limits. Internal rating is carried out without undue reliance on external ratings.
• Syndicated loans are appraised independently without undue reliance on assessment of lead arranger or underwriter of the facility.

We are seeking a highly motivated, independent professional to join our risk management team. As part of the risk management team, you will be a key team member managing the firm’s risk and regulatory compliance matters which include but not limited to business, financial and security.

Responsibilities

Staff Independence

• Manage and organise annual declaration of independence for staff
• Conduct annual independence testing
• Checking of independence for new joiners

Advisory

• Attend to day-to-day queries relating to client onboarding and continuance, independence, and anti-money laundering
• Review basic legal documents such as engagement letters and non-disclosure agreements
• Update firm’s policies based on regulatory changes

General Compliance

• Carry out annual and regular testing to ensure compliance to firm’s policies
• Organise information for reporting to the group and regulators
• Organise and prepare information for internal testing and regulatory inspections
• Organise, facilitate and deliver risk management related training

Other ad hoc duties as and may be assigned

Requirements

• Degree in Accountancy, Business or relevant discipline.
• At least 5 years of relevant experience in an international public accounting firm. Audit experience would be preferred.
• Possess keen interest in the international development of risk management policies with a good understanding of regulatory compliance.
• Good understanding of corporate governance, regulatory compliance, auditing standards and accounting principles
• Strong communication and teamwork skills, with ability to communicate effectively with cross-functional teams.
• Excellent oral and written communication skills.
• Curious and motivated, with strong analytical and problem-solving skills

Trust Relationship Manager will be responsible for a portfolio of trusts and/or companies structures.

• Responsible for daily administration of trust and/or companies, including preparing letter of requests, preparing trust review packs for clients meeting, reviewing of letter of wishes, account opening, insurance transfer/purchases, property transfer/purchases etc, revocation, termination.
• Responsible for drafting of appropriate trustee and company minutes and resolutions for structures under care
• Review the accuracy of data recording in the trust system, input by Trust administrator.
• Review periodic reviews deck, investment review and transaction reports prepared for structures under care
• Interact and liaise with private bankers, intermediaries and clients on trust and/or company matters
• Conduct trust review with settlors
• Attend client meetings independently for structures under care or with Senior Trust Manager for complex structures
• Attend to clients’ matters promptly and provide solutions to clients’ queries
• Participation in ad-hoc projects

Requirements

• Min 4 - 8 years of trust administration experience
• STEP Diploma or a WMI Certificate in Trust Services preferred
• Familiar with local governing trust laws and regulations; and standard AML policies and requirements by Financial Institutions.

Reporting to the Vice President, Legal & Compliance, the role is responsible for providing support on all legal and compliance matters in relation to OUEH group’s (the “Group”) business across Asia.

Key Responsibilities:

Legal

· Manage all legal matters for the Group’s business, including M&As, JVs and other investments

· Manage broad range of general corporate legal matters, such as drafting, reviewing, advising on and negotiating corporate and commercial transaction agreements

· Provide advice to mitigate legal risk and manage litigation matters and proceedings

· Manage trademarks registration

· Provide advice on the relevant laws/rules/restrictions

· Ensure the Group stays compliant with regulatory requirements under the Companies Act, Listing Rules and related laws and regulations

· Liaise with and manage external counsels in various jurisdictions on various legal matters

· Advise and conduct training on the Companies Act and related laws and regulation including the preparation of training materials.

· Participate in the legal & compliance department’s knowledge management exercise

· Drive and support continuous improvement initiatives, such as reviewing policies and processes of the legal function, collating and analysing data, preparing reports and policy papers, for the general improvement of the legal function and processes

· All necessary reporting and liaison with listed parent company and catalist sponsor in relation to the above responsibilities

Compliance

· Ensure that the Group’s compliance policies are implemented across the Group

· Draft policies/guidance, suggest appropriate controls and ensure compliance controls are implemented

· Keep track of regulatory developments and update existing compliance policies and procedures accordingly

· Handle full spectrum of corporate secretarial matters for the Group, including its local and overseas subsidiaries and associate companies such as:

- Draft various resolutions, minutes of meetings, SGX announcements, filing of statutory returns, annual report and liaison with regulators and the board on corporate governance and compliance matters

- Organise and co-ordinate directors’ and shareholders’ meetings, including attending and preparing board and sub-committee meetings papers and AGM/EGM meeting documents

- Manage communication and relationships with shareholders, including handling inquiries, coordinating shareholder meetings, and maintaining the register of members

- Maintain and file the corporate secretariat records and support periodic audit exercise

- Liaise with and manage registered agents in various jurisdictions on various corporate secretarial matters

Risk Management

· Oversee, co-ordinate and facilitate risk management activities

· Collect risk exposure and risk management information to provide risk reports to internal stakeholders

· Facilitate risk identification and assessment exercises

· Design and implement risk management processes & draft risk management policies and procedures

· Any other ad-hoc duties as assigned from time to time

Requirements:

· Bachelor’s Degree in Law

· Admission to the bar in a common law jurisdiction will be an advantage but not essential

· At least 3-4 years of relevant experience in corporate commercial law acquired in-house or in a law firm

· Sound knowledge of legal advice in general corporate advisory work, including company and contract law

· Familiarity with SGX Listing Rules and Regulations is advantageous

· Completed ICSA or relevant post graduate/ professional qualifications will be an advantage

· Able to organise and prioritise work

· Possess a flexible and proactive attitude

· Able to work independently and be a team player

· Good communication and interpersonal skills

· Good written and spoken English and Mandarin to effectively communicate with international and Chinese affiliates and business partners

Objective

In collaboration with various department to contribute to the optimization of inventory control management through strong governance of processes in monitoring product portfolio.

Relationships 

The position needs to have strong collaboration with Operations, Finance and Logistics team

Key Activities

• Conduct daily stock checks of products and report findings to Inventory Control Supervisor
• Coordinate and follow-up with Retail Operations to resolve inventory issues that require physical checking of stocks
• Assist Inventory Planning Executive in validating count results of cycle counts/Customs stock take (during and after the count)
• Maintain and update records that will be used as references for checking and validation of items
• Assist Inventory Planning Executive in checking SKU’s with source code (EAN/UPC) or price tag issues and report it promptly to Inventory Control superiors
• Liaise with Retail Operations in printing of new price tags for items with incorrect source codes
• Process returns to warehouse in Glob+
• Checks breakages and damaged items at each store and maintain a Liqour Breakage & Damaged Items Monitoring Listing
• Any other duties which may be assigned by immediate superior/Manager from time to time

• Diploma or related qualification in Inventory Management or related discipline
• At least 2 years experience in Inventory Control or Planning from multi-stores retail or travel retail industry
• Proficient with Microsoft Excel (Intermediate level)
• Good business acumen and analytical skills

• Work closely with the project manager and administer the design control system and programming to meet budget and timeline expectations of the project.
• Responsible of modifying controls, designs, and other documents in accordance with processes and standards and in line with industry standards as per the customer's URS.
• Assist and participate in internal the purchase, FAT and SAT, test and debug, controls and validation operations.

Requirements:

• Diploma in engineering or equivalent
• At least 3 years of relevant work experience in control systems design.
• Knowledgeable in Allen Bradley and Siemens-S7 programming
