Responsibilities:
- Review, draft, negotiate, in collaboration with other functions of the Company, corporate and commercial contracts and legal documents of the Company, eg consortium agreements, joint venture agreements, leases, loan documentations, NDAs etc
- Liaise with legal counterparts of customers and vendors to review and negotiate customer contracts and contracts relevant for execution of Company’s projects.
- Coordinate with and advise tender team and Management of the Company in preparation of tenders for projects
- Oversee the management of litigation matters
- Provide advice to Management and to the Board on legal issues of the Company
- Source for and assist in the engage external counsels for advice and assistance when necessary
- Present regular reports to Senior Management on legal maters
- Co-ordinate with external counsels on legal research and analysis of potential disputes of the company. This includes preparation of legal briefs, developing strategy in preparation for potential disputes
- Review insurance terms and coverage for assets and projects
- Assist to develop frameworks and templates for customer, procurement and other services contracts
- Assist with drafting of board resolutions and minutes of meetings
- Assist in developing SOPs and templates
- Assist with other legal matters as assigned.
Requirements:
- Min. Bachelor’s Degree in Law (LLB)
- Min. 5 years’ of practiced as qualified persons in law firms or as in-house counsels.
- Experience in maritime or construction industry will be an added advantage
- Knowledge of corporate and secretarial practices will be helpful
- Self-driven with ability to multitask and manage urgent and complex matters
- Fluent in English and able to speak, read and write in Mandarin.
- Good communication skills (both verbal and written)
- Sound commercial acumen
