Corporate Secretarial Executive

Key Responsibilities:

1. Corporate Secretarial Duties:

  • Manage and maintain statutory records, including registers of members, directors, and secretaries.
  • Prepare and file statutory documents with relevant authorities (e.g., ACRA).
  • Handle the incorporation of new companies, registration of branches, and other entity types.
  • Ensure compliance with the Companies Act and other relevant regulations.
  • Coordinate and attend board and shareholders’ meetings, prepare agendas, minutes, and resolutions.

2. Regulatory Compliance:

  • Monitor and ensure timely submission of annual returns, financial statements, and other statutory filings.
  • Liaise with regulatory bodies, such as ACRA, IRAS, and other government agencies.
  • Keep abreast of changes in statutory requirements and advise clients accordingly.

3. Client Management:

  • Serve as the primary point of contact for clients regarding corporate secretarial matters.
  • Provide professional advice on corporate governance and compliance issues.
  • Assist clients in understanding their statutory obligations and best practices.

4. Administrative Support:

  • Maintain and update company records and databases.
  • Handle routine correspondence and administrative duties related to corporate secretarial functions.
  • Support senior management in various ad hoc projects and assignments.
  • Perform any other ad-hoc tasks as assigned by the management.

Qualifications and Skills:

  • Diploma/Degree in Business Administration, Law, or related field.
  • Chartered Secretary (SAICSA/ICSA) qualifications are an advantage.
  • Minimum 2-3 years of relevant experience in corporate secretarial practice.
  • Experience in a corporate secretarial firm or legal environment is preferred.
  • Strong understanding of the Companies Act and other regulatory requirements.
  • Excellent communication and interpersonal skills.
  • Detail-oriented with strong organizational and time management abilities.
  • Ability to handle multiple tasks and work independently under tight deadlines.
