Company Secretarial Senior Manager

About the Role

Reporting to the Company Secretary, the Company Secretarial Senior Manager is a key role within the Company Secretary team, delivering professional and comprehensive Company Secretarial services to the Dyson Board and ensuring good corporate and subsidiary governance throughout the Group. This role encompasses managerial responsibilities across Board support, global entity management, and corporate governance.

A successful individual in this position will be integral to a team that provides critical support and governance across Dyson's global operations.


Key Responsibilities

Board support

  • Ensure external appointments register and conflicts register for Board are maintained.
  • Maintain the Directors’ interests register.
  • Coordinate Board papers on the electronic Board portal.
  • Assist with Director induction organisation and other ad hoc matters.
  • Assist with the drafting of Governance Board papers and Board and governance policies.

Subsidiary governance

Work closely with and manage day-to-day secretarial administration and filing for all of Dyson’s worldwide subsidiaries, including:

  • Ensure statutory filings are made for the Singapore and overseas subsidiaries, including with ACRA and overseas registers.
  • Assist with the administration of various entity boards and committees, including organising, advising and minuting subsidiary board meetings.
  • Maintain and update statutory records and the Group Structure Chart, ensuring all company information is up-to-date and complete.
  • Act as key stakeholders on global and cross-functional projects including corporate actions, liquidations and restructurings, setting up of operations in new territories.
  • Manage the process for subsidiary accounts, liaising with the finance team and auditors, signing and filing.
  • Oversee administration of entity signing requests, including dealing with ad hoc enquiries as to signing and approval requirementsand liaising with external service providers such as notaries.
  • Ensure compliance with local company law for our subsidiaries and subsidiary Articles of Association.
  • Organise and advise on directors’ duties, liabilities, and training for directors.

Other general duties

  • Deputise for the Company Secretary when necessary and when dealing with delegated work.
  • Manage and monitor the Department’s budget, ensuring invoices and expenses claims are approved and processed for payment, and maintain accurate records for budget purposes.
  • Set up and implement enhanced processes and ways of working.

Corporate Governance and Compliance

  • Communicate industry developments in Corporate Governance to the team and support the Company Secretary with the implementation of new Corporate Governance requirements.

About You

  • Qualified company secretary or lawyer.
  • Enthusiastic and self-motivated, a strong team player with a keen sense of ownership and initiative.
  • Professional and approachable with a “can-do” attitude, able to work flexibly within the needs of the team.
  • Excellent organisational and project management skills and attention to detail.
  • High-level communication and interpersonal skills,with a proven ability to build strong working relationships, at Senior and Board level, with colleagues and external suppliers.
  • Ability to work well under pressure, prioritise effectively, and meet tight deadlines.
  • Integrity and high ethical standards, with the ability to use tact and diplomacy and handle confidential matters.
  • Strong technical skills, particularly in applying company law and similar regulatory materials.
  • Technical precision and attention to detail are crucial, and drafting must be to the highest technical standards.
  • Ability to find alternatives to preconceived solutions to ensure compliance across culturally diverse business areas.
  • Extensive experience working in a Company Secretarial or Legal team.
