Legal Counsel

Radisson Hotels Asia Pacific Investments Pte. Ltd.

PURPOSE:

The position supports the regional growth of Radisson Hotel Group Asia Pacific in Southeast Asia & Pacific and protects its legal interests by (i) overseeing and facilitating the development and administration of management, franchise, operating and other contracts and agreements and (ii) managing and resolving legal issues arising operationally, as appropriate, and consistent with company policies.

Radisson Hotel Group, SEAP’s Business Development, Finance, Commercial & Sales, Operations, IT, PR and Communications, Procurement, Technical Services and Human Resources teams.


AREAS OF RESPONSIBILITIES

  • A seasoned lawyer who has exposure to and experience in corporate and commercial (including corporate secretarial) work, litigation or claims handling.
  • Draft, review, negotiate and advise on NDAs, confidentiality agreements, MOUs / LOIs, term sheets, notices, letter agreements, hotel management, license and ancillary contracts with potential hotel partners.
  • Advise, collaborate and support on the execution of various strategic projects involving key stakeholders in the business, including strategic partnerships, business innovation matters and matters similar, to guide and support the business teams from a legal perspective.
  • Work closely with Development team to identify and remove barriers to completing contracts in accordance with company’s standards and policies, as well as coordinate and review background checks on potential hotel partners, including providing summaries of findings where necessary.
  • Draft, review, negotiate and advise Operations team on contracts and other legal matters arising from hotel operations, including ensuring compliance with legal and contractual requirements before hotel opening.
  • Draft, review, negotiate and advise other teams (when necessary) on employment contracts, sales and marketing contracts and various contracts with business partners and service providers, from a corporate level and hotel level where appropriate.
  • Ensure that contracts adhere to company’s policies and standards and report material deviations for approval by Radisson Hotel Group, Asia Pacific leadership team.
  • Obtain and evaluate legal advice and counsel from local attorneys who are expert in hotel development and management contract issues when needed.
  • Assist Director & Legal Counsel, SEAP in developing and implementing policies, procedures and best business practices and ensure understanding and compliance by relevant departments.
  • Act as custodian for department templates (including as to agreements, letters, notices and addendums), policies and procedures.
  • Liaise and supervise corporate regulatory matters of subsidiaries, including coordinating board meetings and shareholders’ meetings, drafting resolutions / POAs (where necessary), and generally ensuring statutory compliance with relevant company laws.
  • Coordinate with RHG Legal department globally where needed, including on administration of trademark rights/registration and liaising with external trademark agent or counsel in respect of such filings/registrations (including any change or renewal thereto) with trademark authorities where necessary.
  • Act as primary liaison to and supervise external corporate secretarial providers for statutory / secretarial matters, including for coordination of annual and other statutory filings of group companies.
  • Overseeing administration of corporate database network and system, including the uploading, updating and maintenance of contractual terms, change of terms, owner / licensee information and monitoring/tracking of contract status (such as construction milestones and contract/LOI expiry dates).
  • Write and distribute contract summaries to ensure all relevant departments understand key contract terms and conditions.
  • Coordinate contract database process to ensure accurate and timely tracking of key contract terms, conditions, changes, timelines, and owner information.
  • Overseeing response and settlement of legal disputes (e.g., debt recovery, breach of contract, court litigation, arbitration) including, when appropriate, the selection and supervision of external counsel.
  • Other miscellaneous work as assigned by supervisor.


REQUIREMENTS

  • Bachelor/Master of Laws from a reputable university in a Common Law based jurisdiction.
  • Admitted to practice in one or more jurisdictions with at least 5 years of experience in corporate and commercial law (licensing or real estate law an advantage) and 3 years’ practice experience with a major local / international law firm with multi-jurisdictional scope in Asia.
  • Meticulous, strong legal drafting skills, excellent organization skills and able to manage multiple projects simultaneously under tight deadlines.
  • Fluent in English with strong written and oral communication skills.
  • Hospitality industry related legal experience and corporate secretarial knowledge and experience would be an added advantage while not a pre-requisite.
