Key Responsibilities:
Transactional Work: Assist in the drafting, review, and negotiation of a variety of corporate documents, including share purchase agreements, shareholder agreements, and joint venture agreements.
Mergers & Acquisitions: Support M&A transactions, including conducting due diligence, preparing transaction documentation, and managing the closing process.
Corporate Governance: Advise clients on corporate governance matters, including board resolutions, compliance with regulatory requirements, and best practices.
Advisory: Provide legal advice on a range of corporate matters, including corporate structuring, financing, and compliance with local and international laws.
Research: Conduct legal research and analysis to support client advice and transaction structuring.
Client Management: Maintain and develop client relationships, providing timely and strategic advice on corporate matters.
Team Collaboration: Work closely with partners, other associates, and legal support
staff to ensure efficient and effective delivery of legal services.
Regulatory Compliance: Advise clients on regulatory compliance issues, including company law, securities regulations, and anti-corruption laws.
Documentation: Prepare and review legal documents related to corporate transactions, ensuring accuracy and compliance with legal standards.
Training & Development:Participate in ongoing professional development and training and keep up-to-date with changes in corporate law.
Requirements:
Qualifications:
LL.B. (Hons) degree from a recognized university.
Admitted to the Bar in the relevant jurisdiction.
Experience:
2-5 years of experience in corporate law, joint ventures, corporate restructuring, and general corporate advisory.
Experience in handling complex corporate transactions is highly desirable.
