Purpose and Scope

Scrutinize and review major investments and advise on legal risk in industrial parks, ready built factories/warehouses (RBF/RBW) and commercial and residential property projects including M&A / divestments, corporate restructuring, leases and other contracting requirements for day-to-day business.

Key Roles and Responsibilities

• Advising on Joint Venture matters (including JV governance).
• Liaise with business units on governance and compliance related matters in respect of frameworks and policies initiated by the Sembcorp Group Legal and Group Ethics & Compliance function (including anti-bribery/corruption) supporting the rollout of these policies (including assistance with training) and implement and monitor compliance on such policies and frameworks.
• Assess the impact of new/amended regulations on the business and present to the managements appropriate steps that may be taken in countering the impact and/meeting legal requirements.
• Participate actively in front line negotiations and interface with customers, business partners, suppliers, contractors etc.
• Work with Sembcorp Urban and Sembcorp Group functional teams i.e. Finance, Business Development, Procurement and other corporate services units in identifying, mitigating and managing legal and compliance risks on activities, businesses and projects.
• Understanding the commercial objectives, strategy, pressure points of the business, reasonable operational knowledge with a view to identifying and assessing the risks and legal issues involved, and effectively communicating this to the business unit or project team to enable them to make well-informed business decisions.
• Liaising with external counsel, regulators, and other stakeholders to ensure the Company's legal and regulatory obligations are met.
• Handling pre-litigation legal disputes and inquiries and (where necessary) representing the Company in the litigation and other legal procedures
• Provide legal support and advice to senior management and all internal stakeholders on legal and compliance matters.

Qualification, Skills, and Experience

• Bachelor’s degree in laws (or equivalent) and admitted as a lawyer in Singapore.
• Minimum 6-8 years of relevant legal working experience. Experience working in the real estate industry on cross border matters and working with an international multi-national company would be an advantage.
• Experience with projects in Indonesia, Vietnam or India and/or ability to speak Bahasa Indonesia or Vietnamese would be an advantage.
• Excellent communication skills in English (written and spoken)
• Good knowledge of commercial law especially land law, the law on enterprises, the law on investment. Knowledge and experience with cross border transactions would be an advantage. Experience with corporate structuring in a property business would be an advantage.

To provide legal support to CLCO & Head Legal in handling Income’s plans and goals for IAG holding company for this and future years expansion IAG and its subsidiaries FA firms, Legal requires one additional contract legal resource, to support below scope of work on a range of agency, corporate, commercial and company law matters.

Further, the legal resource will be required to provide independent legal advice to IAG Board and management team in respect of related party transactions, outsourcing matters between Income Insurance and IAG holding company.

Detailed scope of work as follow:

Scope of Work:

• Provide comprehensive and sound legal advice relating to the IAG holding company and its subsidiary FA firms on subjects relating to insurance products (general and life) (including agency and distribution matters), HR, vendor arrangements, regulatory and compliance, investigations and complaints, insurance agency and financial advisory.
• Advise, draft and review on agreements, recruitment initiatives and schemes, collaterals, strategic agency/ distribution projects and collaborations and handling of contentious / litigious issues relating to the above subjects.

Ensure, manage and maintain a high security standard on the overall safety and security of the premises as well as the car parking system and account for the car park revenue. Provides investigation lead into losses, theft and other criminal activities. Advises on crisis, risk & safety management.

• Ensure that the Hotel is a secure and safe environment for guests, visitors and associates
• Reviews all security measures and procedures on a regular basis to ensure high security standard in the Hotel
