Job Description:

1. Draft, review, and amend various contracts and agreements.

2. Ensure that contract contents comply with relevant laws and regulations, protecting the company’s legal rights.

5. Participate in major company decisions and provide legal advice and recommendations on company management and various departments.

8. Conducting legal research to support company’s project requirements.

Requirements:

1. Legal degree or equivalent legal qualification.

2. 2 years of experience practicing law, preferably in corporate law.

3. Comprehensive understanding of corporate law, contract law, and regulatory frameworks.

4. Good writing and verbal communication skills.

Able to promote lounge food and drinks, able to handle customer request and build up customer relation, improve lounge image. Able to delicate workscope of waiter and waiteress, plan work detail and to calculate commission earned for all staffs, create idea and events to bring up sales profit for company.

Responsibilities:

• To review, interpret, vet and draft contracts, agreements and other legal documents and ensuring minimal legal exposure and liability to the company
• Provide corporate secretariat support to the Group business entities and to ensure compliance with statutory requirements and Group’s policies and best practices
• Assist in US Nasdaq listing compliance work including drafting and/or reviewing of resolutions, announcements and shareholders circulars for group companies, corporate governance and compliance matters
• Participating in business dealings such as Merger & Acquisition, corporate restructuring, formation of business financing and ventures
• Work with external legal counsel to deal with legal claims and disputes

Requirement:

Our client is a rising star within the technology data centres space. Due to business expansion, they are looking for a Legal Counsel to be part of their APAC regional team here in Singapore.

Role Description

As a Legal Counsel, you are responsible for drafting and reviewing legal documents and providing holistic risk assessment and suggestions to enhance business value while mitigating downside risk across multiple areas of the company. You will be supporting the development and implementation of group legal strategy and contribute to the development of the organization’s general business strategy.

Qualifications

• Qualified lawyer with 4-8 years of PQE within technology sector
• Strong team player and good business sense.
• Possesses strong legal technical expertise as well as exceptional business acumen and people skills.
• Hands on at work and can be independent in managing complex projects whilst still working as part of a team.

Roles and responsibilities

a. Read and reply to all emails promptly

b. Assist group companies to navigate, and resolve complex legal issues.

c. Research and resolve legal disputes through the analysis of relevant laws,

argument development, evidence collection, and legal representation.

d. Propose resolution and draft settlements terms in Company's best interest.

e. Draft, review, complete, and file legal paperwork related to litigation

f. Draft, review, complete all Terms and Conditions in all types of Contracts and

Agreements ranging from Sales, Employment, Business Agreements, Franchise

Agreements, Distributorships Agreements, Letters of Credit, etc.

g. Examine, review and report any potential legal issues on the existing Contracts,

Agreements to the Company’s Director.

h. Manage multiple cases, and legal activities that carry varying deadlines.

i. Any other duties as assigned.

Job Requirements:

1. Degree in law, successful passing of the bar exam, and a valid state license.

2. Excellent critical thinking, analytical, reasoning, and negotiation skills.

3. Strong research and verbal and written communication skills.

4. Good leadership, organizational, time management, and multitasking skills.

5. The ability to work under pressure and time constraints to meet deadlines.

Responsibilities

1. Review and Drafting

· Assist in the drafting and negotiation of contracts, ensuring compliance with legal requirements and organizational policies.

· Periodic review of organisation standard agreements to ensure that it is up to date with the respective laws and regulations.

· Thoroughly review and analyse legal agreements between the organisation and clients/partners/vendors.

2. Risk Management

· Identify potential legal risks in agreements and transactions and communicate these risks to the management, finance and/or team members.

· Collaborate with cross-functional teams to develop strategies for risk mitigation.

3. Data Privacy Compliance

· Stay abreast of data privacy laws and regulations.

· Review and update the organisation's data privacy policy to ensure compliance with applicable laws.

· Provide guidance on data protection impact assessments and compliance initiatives.

4. Legal Research

· Conduct legal research on relevant issues to support decision-making and legal strategy.

· Stay informed about changes in laws and regulations that may impact the organisation.

5. Contract Management

· Maintain an organised system for contract management, including tracking key dates, renewals, and compliance requirements.

6. Dispute Resolution

· Assist in the resolution of legal disputes, including coordinating with external legal counsel when necessary.

· Participate in negotiations and settlements to protect the organisation's interests.

7. Policy Development

· Collaborate with the management team to develop and update organisational policies to ensure legal compliance.

Requirements

● Diploma in Law or equivalent.

● Preferably with 2 years of experience as a Legal Executive or similar role.

● Strong understanding of contract law, data privacy, and relevant legal frameworks.

● Excellent communication and interpersonal skills.

● Ability to work independently and collaboratively in a fast-paced environment.

● Attention to detail and strong analytical skills.
