• Guide junior legal counsels in areas of legal advice and contract review

About the role:

• Incorporation of new companies;
• Maintenance of corporate secretarial records for various entities, including statutory registers;
• Ensure compliance with relevant statutory and regulatory requirements are strictly met;
• Preparation of Directors’/ Shareholder’s meeting minutes and resolutions and ensuring documents are properly signed, lodged and filed;
• Preparation of annual returns and other statutory documents;
• Preparation and lodgement of routine/ ad-hoc statutory documents/ client transactions;
• Managing Corppass authorisations;
• E-stamping with IRAS for transfer of shares;
• Issuance of share certificates;
• Facilitate the billing process for clients’ annual fees;
• Proper maintenance of all clients’ documents;
• Collaborate with external partners for offshore entities;
• Arrange for the notarisation and legalisation of documents;
• Recording and performing of KYC for client onboarding.
• Recording of records into Zoho CRM system.

The Position

Reporting to designated Team Lead or Manager of Corporate Secretarial team, you will be responsible for administration of a portfolio of clientele which includes private and public limited companies as well as foreign companies, particularly with regard to ensuring compliance with statutory and regulatory requirements. You will work closely with the clients, their advisers, your colleagues within local office and counterparts in an effective manner, to continuously meet clients’ expectations and maintain good client relationship management so as to optimise the work process.

Your Responsibilities

• Assistance in handling full spectrum of corporate secretarial matters for clients under your care and ensure statutory and compliance issues are met
• Preparing necessary documents for company incorporations, registration of foreign branches & representative offices, AGM, EGM, board resolutions/meetings, corporate actions, striking off, etc
• Filing of annual return and financial statements in new XBRL format
• Assistance in drafting and releasing announcements of listed clients to SGX
• Lodging changes that required to be updated with ACRA upon director’s approval
• Attend to auditors’ queries on behalf of clients and liaise with them in preparation for statutory audit
• Assistance in assessing work procedures, providing feedbacks/suggestions for improvements and implementing improvement process, where necessary
• Perform certain administration tasks pertaining to the clients or internal procedures
• Handling staff relocation matters for clients
• Other ad hoc projects

Your Profile

• A minimum of 3 years’ experience in corporate secretarial practice. Holding or currently pursuing corporate secretarial qualifications (SAICSA) would be advantageous
• Meticulous individual with strong sense of responsibility, a good team player and able to work independently, pro-active client servicing aptitude and a commercial acumen
• Proficiency in MS Office
• Knowledge of viewpoint will be an advantage
• Strong written and verbal communication skills in English

Responsibilities:

• Review and maintain Safety Management System, Safe Work Procedures, and Risk Assessments.
• Identify improvement areas and monitor implementation of recommended measures through site inspections and team engagement.
• Collaborate with teams to plan, implement, and maintain effective WSHE work plans.
• Investigate WSH infringements and industrial accidents, recommending preventive actions.
• Handle incident reporting, investigations, and propose corrective measures.
• Conduct internal audits to ensure compliance with ISO 9001, ISO 14001, ISO 45001 standards, GGB, ConSASS, and Bizsafe.
• Liaise with relevant authorities on WSH issues.

Requirements:

• Registered WSHO & ECO Officer
• At least 5 working experience in construction industry (design & build/industrial warehouse)
• Working experience with A1 or A2 construction company.
