Job Description

Ennovi is looking for an experienced, highly motivated, committed and skilled professional with a passion for corporate governance. The successful candidate will handle, manage and oversee Ennovi group companies' corporate secretarial matters. This role reports to the Group General Counsel and is based in Singapore.

Duties and Responsibilities

Corporate Secretarial Support and Compliance:

• Support all Ennovi Holdings Pte. Ltd. Board requirements including scheduling board meetings, arranging Board members' travel itinerary and bookings, assisting Board Chairman with board related travel claims, preparing board pack for board meeting, arranging meals and refreshments for the Board members.
• Prepare board / directors' resolution and other corporate secretarial related documents as required to support Ennovi Group companies' needs and requirements, and facilitate execution of corporate documents/resolution.
• Liaise with local corporate secretarial service providers, outside legal counsel, auditors and bankers on corporate secretarial and compliance related matters, including: AGM, statutory filing (eg ACRA), bank account opening, UBO Register, facilitate XBRL conversion, statutory audit and Annual Return filing for Ennovi Group Singapore companies.
• Maintain, update and safekeep records of constitutional documents, Statutory Registers, minutes and resolutions.
• Handle KYC and other corporate secretariat related queries from internal and external stakeholders such as banks, lenders, service providers, outside legal counsel, customers, suppliers etc.
• Ensure compliance with all relevant legislation / regulations.

General Administrative Support:

• Act as CorpPass Administrator - grant and terminate user's access etc.
• Maintain Legal Department's contract repository.
• File / safekeep documents of importance including IP certificates, Insurance Certificates.
• Act as contact person for DnB and LEI subscription.
• Schedule DocuSign for company approved documents/contracts.
• Assist in ad hoc duties / assignments as and when required.

Job Requirements:

• Corporate Secretarial qualifications or equivalent.
• Minimum 6 years PQE or relevant working experience, in-house experience in a multi-national company is preferred.
• Strong command in English and excellent writing skills; proficiency in multiple languages is a plus.
• Good attention to details.
• Organized and able to manage deadlines effectively.
• Integrity and discretion required for handling confidential information.
• Strong interpersonal skills.
• Able to work independently and in a team.
• Able to work flexible hours (this role requires collaboration with colleagues in different time zones).
• Strong overall computer skills, and proficiency in Outlook, Word and Excel
• Able to work three times a week in office (you will have the option to work from home two times a week)

Summary

This position is responsible for the movement of all goods/purchases in and out of the hotel and ensure that they are properly recorded.

Job Responsibilities

· To ensure that any goods coming into the hotel have been properly ordered and met the specification (in quantity and quality).

· To ensure that all goods received in the hotel are accounted for and supported with proper documentation.

· To ensure that all goods received in the Hotel are properly supported by valid hotel purchase orders.

· To examine both quality and quantity of goods received in coordination with related Department Heads before accepting delivery.

· To ensure that goods are promptly moved to Stores or the concerned department once received.

· To ensure that outgoing goods are properly documented and accounted for.

· To closely monitor with Purchasing for all pending or partial deliveries.

· To be responsible for recording and distributing reports as required.

Responsibilities:

Assist legal team and corporate secretarial team in the following but not limited to:

• Providing administrative and clerical support to the teams;
• Transcribing and proofreading legal documents;
• Drafting of board resolutions and minutes of meetings;
• Manage and assist with court cases (require visits to the State Courts);
• Ensure clients’ compliance with corporate governance and statutory requirements;
• Manage clients’ correspondence;

Requirements:

• Singapore citizen or permanent resident
• Candidate should possess at least a Degree;
• Knowledge of constitution, legal terminology, regulations and court system and process a plus;
• Good communication and interpersonal skill.
• Work independently, highly organized with excellent time management skill and prioritize tasks to meet deadlines.
• Self-motivated, proactive with high degree of integrity.
• Knowledge in Microsoft Outlook, Excel and Word Document.
• Good command of written and spoken English.

About the Position: The Legal Secretary plays a crucial role in supporting the firm’s lawyers by ensuring the smooth operation of daily administrative tasks and efficient document management. This position involves drafting and proofreading legal documents, managing schedules, coordinating client communications, and organising files. The Legal Secretary acts as a reliable resource for both lawyers and clients, contributing to the firm’s success through meticulous attention to detail and excellent organisational skills. Prior experience in a legal environment is preferred, along with a strong ability to handle confidential information professionally and accurately.

Key Responsibilities:

• Providing information-management support.
• Reading, reviewing, verifying, and routing correspondence, reports, and legal documents.
• Maintaining the lawyers’ calendars by planning and scheduling conferences and teleconferences; recording and monitoring court appearance dates, pleadings, and filing requirements; and anticipating changes in litigation requirements.
• Providing secretarial and administrative support to lawyers, including preparing bundles of documents, updating various records and keying in daily time sheets.
• Ensuring accurate maintenance of business development records such as client lists, contact details and mailing lists
• Produces information by transcribing, formatting, inputting, editing, retrieving, copying, and transmitting text, data, and graphics to help coordinate case preparation.
• Recording and documenting meeting discussions, and maintaining transcripts, documents, and evidence.
• Maintaining and organising the firm’s filing and retrieval systems, as well as digital archive systems.
• Ensuring operation of equipment by completing preventive maintenance requirements and calling for repairs.
• Maintaining office supplies by checking stocks, placing and expediting orders, and evaluating new products
• Providing administrative support to include preparing PowerPoint presentations, InterAction updates and event support, as necessary.
• Familiarity with Xero and Employment Hero platforms is preferred but not mandatory.
• Carry out other ad-hoc tasks/projects assigned.

Preferred Experience & Skills:

• Education: Higher Nitec, GCE ‘O’ or ‘A’ Levels, Diploma, or Degree in Corporate Secretarial Studies, Law, Business Administration, or related fields; relevant professional certifications are also recognized.
• Experience: Proven background as a legal secretary or in a similar administrative role within a legal or corporate environment.

Technical Proficiency:

• Skilled in MS Office and familiar with legal technology such as court-filing systems (e.g., e-Litigation), research databases (e.g., LawNet), and LexisNexis platforms.
• Familiarity with client relationship management tools like InterAction is advantageous.
• Strong understanding of legal terminology, regulations, and court procedures.

Organisational Excellence:

• High level of accuracy in preparing and reviewing documents.
• Exceptional time-management, multitasking, and organisational skills for managing priorities in a fast-paced setting.

Interpersonal & Communication Skills:

• Strong communication and interpersonal abilities to work independently or collaboratively within a team and engage effectively with clients.
