Key Role
As Head of Corporate Secretariat, you play a crucial role in maintaining transparency and adherence to legal requirements.
You will be responsible to lead the team to ensure corporate governance, board support as well as board meetings ensuring regulatory compliance and overseeing documentation and communication processes within the organisation.
Responsibilities
- Ensure that company and all its subsidiaries comply with Companies Act, Statutory Regulations, Company’s Memorandum and Articles of Association, Joint Venture Agreements etc.
- Prepare and review directors’ resolutions, shareholders’ resolutions and other corporate secretarial papers to ensure compliance with all applicable statutory requirements.
- Prepare the necessary documents for incorporation and liquidation of companies.
- Provide advice to the management on corporate secretariat matters.
- Provide comprehensive legal and administrative support to the board and advise directors on their statutory obligations.
- Review and update corporate secretarial processes and policies to stay updated on relevant developments and changes in statutory and regulatory obligations.
- Upkeep and control of documentation and communication for corporate secretariat functions locally and for overseas markets
- Any other duties as may be assigned.
Qualifications & Experience Required
- Bachelor of Accountancy or its equivalent that will qualify the person to be a Certified Public Accountant, Bachelor of Law or ICSA qualification.
- 10 years’ experience in corporate secretarial work.
- Conversant with Companies Act, Statutory Regulations, Memorandum and Articles of Association and Joint Venture/Shareholders’ Agreements of each of the companies and financial statements.
- Organized, detailed-oriented, versatile and good interpersonal skills.
- Member of the Singapore Association of the Institute of Chartered Secretaries and Administrators (SAICSA) will be an added advantage.
