Job Descriptions:
US & HK securities law and public markets compliance
1. All aspects of listed companies’ securities law compliance work (US securities regulations, HK Listing Rules, SFO, Takeover Code etc.)
2. Prepare stock exchange announcements & filings for US- and HK-listed companies of the group
3. Organize board/committee and shareholders’ meetings and prepare meeting materials
4. Prepare and submit ownership/interest disclosure forms for substantial shareholders and directors
5. Handle issues relating to U.S. Investment Company Act, Sarbanes-Oxley Act and other relevant legislation.
6. Address questions on listing rules or securities laws from management and other departments
7. Monitor regulatory changes in the relevant area, update the management and provide internal trainings
8. Prepare and update relevant company policies
9. Other special tasks or projects
Job Requirements:
1. 5-10 years of experience with reputable international law firms or corporate in-house experience
2. Solid experience in Hong Kong post-listing compliance and capital markets; familiarization with US securities regulations
3. Fluency in English; the ability to confidently speak and read/write Mandarin Chinese is a significant plus, as this role involves frequent communication and collaboration with Mandarin-speaking stakeholders
4. Good communication and collaboration skills; open-minded, proactive, hard-working, keen learner, commercial awareness
5. Knowledge in accounting is a plus
