We are looking for a diligent and highly motivated Compliance and Risk Officer/Manager to join the company. The successful candidate will support compliance, risk, corporate secretary and legal matters within the company, helping to mitigate risks and foster a culture of compliance and ethical conduct.

As the Compliance and Risk Officer/Manager at Shareable Assets, you will play a crucial role in maintaining regulatory compliance and risk management. You will work closely with senior management and cross-functional teams to develop, implement, and monitor compliance and risk management programs, as well as being a central point of contact in dealing with the Monetary Authority of Singapore (MAS).


About Shareable Assets Pte. Ltd.

Shareable Assets Pte. Ltd. (SAPL), a wholly-owned subsidiary of InterOpera, operates as a digital securities platform holding a Capital Markets Services license issued by the Monetary Authority of Singapore. SAPL has received approval to conduct Digital Token Offerings, thereby enhancing its capabilities in the digital asset sector. SAPL has prior involvement in initiatives to tokenize property and bonds. InterOpera, the parent company of SAPL, also operates as an exchange for carbon credits and renewable energy certificates, alongside providing blockchain infrastructure and sustainability solutions to automate tasks for the renewable energy sector. To date, the InterOpera Group has secured USD 9 million in funding.


Responsibilities

Regulatory and Compliance Management:

  • Oversee client, third party, and supplier onboarding processes, ensuring compliance with KYC/CDD, due diligence, and relevant regulations.
  • Collaborate with colleagues to review business documentation (NDAs, MoUs, contracts) from a compliance perspective, seeking external legal counsel when necessary.
  • Serve as a technical expert for the business, providing guidance on regulations, operational policies, and procedures impacting SAPL's licensed activities in Singapore.
  • Develop and maintain compliance infrastructure that optimises adherence to regulations while preserving business competitiveness.
  • Conduct gap analysis, assess the impact of new regulations, and recommend necessary policy and procedure adjustments.

Regulatory Liaison and Reporting:

  • Act as the primary contact for MAS and manage relationships with auditors and other external stakeholders.
  • Oversee the escalation of regulatory breaches to MAS and/or PDPC, as required.
  • Manage routine regulatory reporting and returns, including drafting communications and ensuring timely responses to questionnaires/surveys/misconduct reports.
  • Coordinate efforts relating to internal/ external audits and reviews.
  • Maintain records of audit findings and recommendations.
  • Perform audits and investigations as needed.

Compliance Oversight and Monitoring:

  • Monitor adherence to all relevant laws, regulations, and industry standards.
  • Maintain key logs and registers (third parties, outsourcing, gifts & entertainment, etc.).
  • Maintain comprehensive compliance and risk documentation.
  • Develop, review, and maintain compliance policies and procedures.
  • Conduct compliance risk assessments and implement risk mitigation controls.
  • Design and deliver compliance training programs to raise employee awareness.
  • Prepare and present periodic reports on compliance activities to senior management.

Risk Management:

  • Identify, assess, and prioritise risks affecting the organisation.
  • Develop and implement risk management strategies and plans.
  • Monitor risk indicators and report to senior management.
  • Continuously improve risk assessment methodologies.

Corporate Secretary:

  • Ensure accurate record-keeping and maintenance of corporate documents, including board resolutions.
  • Work collaboratively with SAPL's external corporate secretary.

Requirement and Skills

  • Bachelor's degree in a relevant field, such as law, business, or finance.
  • Minimum of 5 years of experience in compliance and/or legal, corporate secretary, risk roles, preferably in a MAS licensed entity or start-up environment.
  • Experience dealing with MAS and internal/ external auditors.
  • Good knowledge of relevant laws, regulations (for eg, SFA), and industry standards.
  • Excellent verbal and written communication skills.
  • Excellent interpersonal and stakeholder management skills.
  • A highly motivated and ambitious individual who is eager to grow professionally and can thrive in a fast-paced, dynamic startup environment.
  • A proactive individual with a strong sense of purpose and urgency to get things done.
  • Singaporeans and Permanent Residents preferred.
