Duties

• Handle a portfolio of corporate secretariat matters for both Singapore and Overseas companies including preparation of Directors’ Resolutions, AGM & EGM documents and preparation of materials for meetings
• Prepare and draft board resolution and minutes examples change of directors and/or secretary, establishment of bank accounts and facilities, transfer of shares, increase of share capital, etc
• E-filing of various transactions with ACRA which includes Annual Return, Return of Allotment, Appointment of Officers, etc
• Ensure compliance with statutory and regulatory requirements including meeting deadlines
• Organize and co-ordinate board meetings and preparation of board papers
• Liaise with external parties such as other corporate secretarial service providers, notary offices, etc
• Attend to notarization and legalization of documents
• Respond to requests from business units and auditors for information and documents
• Manage a small team of corporate secretaries

Requirements

• At least 5 years relevant experience in professional firms providing corporate secretarial services.
• Possess / pursuing ICSA or relevant qualification is an advantage.
• Good interpersonal and communication skills.
• Able to work independently, multi-task and is meticulous.
• Good organisation and administrative skills.
• Excellent attention to detail.

Tax Team

The Tax team supports organisations at every stage of the lifecycle – from structuring business tax effectively and managing any employment tax issues to transactional tax obligations and compliance. As a Corporate Tax Manager, your responsibilities include:

• managing a portfolio of corporate tax clients, delivering high quality professional services

We are looking for a hardworking, meticulous and motivated individual with 0 to 1 year of experience for the corporate secretarial executive position. He/she must be able to manage a portfolio of private, foreign and public listed companies and ensure clients comply with the relevant laws. He/she will be expected to handle board matters and give corporate governance advice and carry out statutory filings with ACRA and other relevant authorities. He/she has to assist with the incorporation of companies and keep the necessary registers and prepare board packs. He/she has to multi-task and assist with ad hoc administrative and other duties from time to time.

As we also advise Mandarin-speaking clients, the ability to speak and write Mandarin is a plus.

Able to start within a short notice would be an advantage.
