Job Description & Requirements

• Assisting Corporate Secretary in handling full spectrum of corporate secretarial duties for our client but not limited to company incorporations, striking off of companies, preparation of directors' and shareholder resolutions
• Ensuring compliance in accordance to relevant statutory requirements, maintenance of statutory registers of statutory returns
• Other ad-hoc duties as and when required

Requirements

• Diploma in Business Administration or above
• Prior experience in relevant field will be an advantage
• Excellent written and spoken communication skills in English
• Proficiency working attitude, pro-active, good team player and able to work independently with minimal supervision
• Able to work under pressure & meet deadline

Responsibilities

• Provide legal support to the Company’s Legal and Compliance team on areas such as technology and media, IP, data protection (PDPA, GDPR etc.), labour and corporate issues;
• Review, advise on, draft and front negotiations (if necessary) on commercial agreements, including but not limited to tender documents, service agreements and NDAs;
• Assist in implementing and streamlining legal policies/workflow initiatives that support the overall corporate objectives;
• Ensure compliance with the internal controls, statutory regulations, and other corporate formalities;
• Assist in implementing compliance programs;
• Advise on legal disputes;
• Monitor changes in laws and regulations and provide updates to the Company and/or the Legal and Compliance team in the event of any such changes;
• Assist in various KYC- and Compliance-related matters;
• Carry out staff briefings and training sessions; and
• Perform other duties as assigned.

Requirements

• A Singapore-qualified lawyer with 1-2 years of post-qualification experience. Newly called lawyers are also invited to apply.
• A proactive team player and a self-motivated individual with leadership capabilities, possessing high professional ethics, strong interpersonal, analytical, and organizational skills.
• A savvy, creative and confident negotiator who is a good value-add partner to the sales team.
• Good command of written and spoken English. Strong legal knowledge with good business judgement.

Junior Corporate Secretary

Reports To

The Junior Client Accountant will report to the Team Leader

Job Description

1. Handle corporate secretarial matters, independently, such as preparation of resolutions/minutes for clients’ companies, online submission with ACRA, sending monthly / annual reminders to clients on filing deadline, updating of statutory registers and minute book etc;

2. Perform certain administration tasks pertaining to the clients or internal procedures;

3. Attend to auditors’ queries on behalf of clients and liaise with them in preparation for statutory audit;

4. Update client’s database electronically;

5. Scanning client’s signed documents;

6. Daily redirection of mails to clients for letters received on their behalf / notify them via email letter received;

7. Other corporate secretarial support in restructuring or adhoc assignments from time-to-time;

8. Handling client payroll records and calculate monthly salary; and

9. Any ad-hoc tasks that may be assigned from time to time.

Requirements

1. Positive work attitude with strong initiatives, strong sense of responsibility and a team player;

2. Proficient in both spoken and written English and mandarin;

3. Independent, self-motivated and possesses good interpersonal skills;

4. Proficiency in computer software; and

5. Able to work under pressure & meet deadline
