KEY DUTIES AND RESPONSIBILITES:

• Organise board meetings and ensure relevant documents are distributed to the Directors and Stakeholders.
• Liaising with the Board of Directors & Stakeholders on meetings and announcements.
• Managing and drafting of all corporate confidential documents, inclusive legal agreements, engagement contracts, ACRA filing, meeting minutes, board resolutions, annual report. Meeting presentation deck.
• Compile and close monitoring of all statutory licences for the company.
• Support both the CEO & President on all administrative task and to follow thru with the relevant stakeholders timely.
• Managing the CEO & President’s calendar and to make travel plan, booking and meeting event appointment appropriately.
• Organized and co-ordinate on any company events when required.
• Arrange, co-ordinate and as the point of contact for visitors and statutory agencies visiting to site, inclusive receiving and networking with them.
• Other ad-hoc duties as requested by the Management.

JOB REQUIREMENTS:

• Bachelor’s degree in Secretarial / Business Studies or equivalent with at least 5 years relevant working experience, preferably with at least 2 years of legal corporate secretary working exposure.

Key Responsibilities

• Manage debt portfolios and work with various internal stakeholders to address cash flow requirements
• Evaluate, analyse and recommend appropriate funding strategy for new investments and existing debt
• Review and complete documentation to facilitate funding by bilateral/syndicated loans (corporate or project)
• Evaluate, analyse and recommend hedging strategy for interest rate and foreign currency exposures
• Track and monitor loan portfolio, including interest costs, loan covenants and reviewing refinancing needs
• Prepare or review quarterly investor reports, periodic group treasury reporting, recommendation/board papers on funding and hedging strategies

Job Requirements

Pre-requisites:

Job Description

• Review, draft, and negotiate, in collaboration with other functions of the Company, corporate and commercial contracts and legal documents of the Company, eg charterparties, construction contracts, consortium agreements, joint venture agreements, leases, loan documentations, NDAs, etc
• Liaise with legal counterparts of customers and vendors to review and negotiate customer contracts and contracts relevant for execution of the company’s projects.
• Coordinate with and advise tender team and Management of the Company in preparation of tenders for projects
• Oversee the management of litigation matters
• Provide advice to Management and to the Board on legal issues of the Company
• Source for and assist in engaging external counsels for advice and assistance when necessary

Requirements

• Bachelor’s Degree in Law (LLB)
• Practiced as qualified persons in law firms or as in-house counsels for not less than 8 years.
• Fluent in English and able to speak, read and write in Mandarin
• Experience in maritime or construction industry will be an added advantage
• Knowledge of corporate and secretarial practices will be helpful

Job Description

• Liaise with NTU counterparts, such as the Office of Health and Safety, to implement and coordinate new initiatives and share and distribute information relating to workplace health and safety matters within NIE to meet NTU expectations.
• Formulate, implement, and evaluate new and existing health and safety policies and services to build a strong safety and health culture within the NIE community and ensure compliance with relevant regulations and NTU expectations.
• Facilitate Enterprise Risk Management programme, which includes reviewing & tracking the key risks identified in the risk register.
• Support assistant directors in the department in various corporate planning initiatives, such as crisis/incident management and Enterprise Risk Management, etc.
• Provide administrative/secretariat support for activities/committees/meetings by the department.

Requirements

• A University degree.
• At least three years of relevant experience in occupational workplace health and safety management, with practical knowledge and experience in implementing safety programs, conducting risk assessments, and ensuring compliance with local regulations.
• Strong experience in ISO documentation, including ISO 45001, would be preferred.

ROLES AND RESPONSIBILITIES
