Ennovi is looking for an experienced Legal and Compliance Counsel to be part of our Legal Team. This role is based in Singapore and requires a highly motivated, committed and skilled professional with a passion for corporate compliance and ethics. Duties and Responsibilities

Compliance:

• Review regulatory and compliance policies to ensure that they are up-to-date

Job Summary

The Regional Director, Legal, Asia Pacific will have principal responsibility for legal matters pertaining to Zimmer Biomet's South East Asia and related Export Market business operations, primarily to support the Company’s markets in Singapore, Malaysia, Thailand, Korea and Vietnam + Export Markets (70%), and to support the APAC region more broadly including to support global Legal, Tax and Privacy teams on different projects (30%).

Education/ Experience Requirements

Specific Responsibilities:

• draft, review and revise various types of agreements, such as non-disclosure agreements, service agreements, consultancy agreements and outsourcing agreements;
• respond to inquiries from the Company’s business divisions in relation to the various legal matters, such as interpretation of existing agreements, legality of new business opportunities or changes in laws and regulations that may affect business;
• draft, review and maintain compliance related documents, such as company regulations and policies;
• advise on and assist in handling claims from or disputes with customers, service providers, and/or suppliers;
• organize and conduct in-house training for the Company;
• liaise with Japan HQ’s legal department and business departments for global transactions and advise on legal risks and issues;
• prepare responses to various surveys initiated by Japan HQ; and assist other divisions in the company in any way required.

Specific Responsibilities:

• License to practice law or a law degree

• At least 2-3 years of experience in a corporate/commercial department in a law firm in Singapore or a Singapore company

• Draft, review and/or negotiate a broad range of commercial agreements, including acquisitions and divestments, joint ventures, M&A deals, private equity transactions and restructurings including global cross-border transactions.
• Advise business stakeholders on such transactional matters, monitor and advise stakeholders on possible legal risk and provide mitigation strategies
• Support the legal department in managing any litigation or contentious matters across various jurisdictions.
• Assist in the drafting of policies, guidelines, legal templates and other documents to ensure best practices.
• Draft routine leases, non-disclosure agreements, engagement letters, and amendments and create templates.
• Ensure that appropriate approvals are in place before transactions are executed.

Requirements:

• Bachelor’s degree in law or equivalent with at least 5-6 years PQE in a law firm or as an in-house counsel role with proven legal skills, combined with a strong reputation for providing commercial solutions, and excellent transactional and management skills.
