About the Role


  • To lead and manage the corporate secretarial team at Singapore TPC headquarters
  • To serve as named company secretary.
  • To ensure group companies in compliance with statutory and regulatory requirements, and to maintain and update statutory records in accordance with regulatory standards and best practices.
  • Key liaison with other functions and business units for all corporate secretarial matters within TPC group


Responsibilities


1) To ensure corporate secretariat division providing timely and reliable support to stakeholders:


- To oversee day-to-day operation and transactions handled by corporate secretariat team

- To collate, attend and prepare meeting minutes or to draft resolutions with the aim of ensuring that the team's deliverables are timely (response ≤ 3 working days), accurate and fit-for-purpose

- To ensure timely filing of annual returns, change of directors/officers, changes in share capital, economic substance returns with authorities within stipulated timelines, and aim to keep late filings due to the default of corporate secretarial team at ≤5%


2) To uphold corporate governance level of the Group and Country Offices:


- To administer and ensure corporate secretarial processes and director's nomination policy are complied with

- To enhance corporate governance and ensure compliance with external regulations and internal policy and aim to keep non-compliant companies at ≤5% of total number of companies within the group

- To ensure the compliance of external prevailing rules and regulations

- To assist overseas offices ie. Indonesia, Malaysia, Thailand and China, in discharging corporate secretarial duties.

- To act as gatekeeper for dealing documents received from overseas offices before circulation for senior management's approval


3) To administer, maintain and ensure secretarial records ie. minutes book, statutory register, TEAMWORK, group corporate chart is up-to-date:


- To ensure corporate secretarial records ie. minutes book, statutory register, TEAMWORK, group corporate chart are always up to date and readily accessible by stakeholders

- To ensure stakeholders’ queries and requests are addressed on timely basis, with a performance target less than 10% of requests are addressed ≥ 3 working days


Job Experience / Skills

  • Minimum of 10 years of experience in the corporate secretarial field with 3 years in a managerial position
  • Qualified to serve as named company secretary for both public and private companies.
  • A good knowledge and understanding of regulatory and statutory requirements in SEA and offshore jurisdictions.
  • Extensive experience in handling KYC and due diligence inquiries and matters.
  • Expertise in preparing, reviewing, and distributing resolutions to boards and shareholders to ensure alignment with the relevant statutory and regulatory requirements and internal governance framework, as well as filing returns with regulatory authorities within the required statutory period.
  • Strong experience in organizing, collating and attending meetings including drafting minutes independently
  • Ability to provide clear and concise corporate secretarial and corporate governance advice to the corporate secretarial team and stakeholders


Other Qualifications / Soft Skills


  • A practising chartered secretary or an associate of Chartered Secretaries Institute of Singapore
  • Demonstrate ability to work independently as a corporate secretarial manager and effectively lead a cohesive team in a dynamic and evolving environment.
  • Capability to collaborate with cross-functional teams across various geographical locations on corporate secretarial functions and other assigned projects.
  • Excellent organizational, communication and stakeholder management skills.
  • Proficiency in reading and conversing in Mandarin and Bahasa will be an advantage.
  • Possesses a growth mindset and maintains a positive attitude towards new leadership/management initiatives and policies.
