The Corporate Secretary is responsible for handling full spectrum of corporate secretarial work for group companies in Singapore and other countries, including offshore jurisdictions

Responsibilities:

• Draft and manage the circulation of meeting minutes, directors' resolutions, and shareholders' resolutions.
• Maintain statutory registers and corporate records and ensure corporate documents are properly organized and securely stored.
• Prepare and submit statutory filings in multiple jurisdictions.
• Engage with local agents.
• Ensure group companies’ compliance with applicable corporate laws and monitor regulatory developments impacting corporate compliance.
• Provide support in dealing with KYC requests.
• Develop and recommend improvements to policies and procedures relating to corporate compliance to enhance efficiency and effectiveness.
• Classify and archive controlled documents (physical and electronic) pursuant to the group's document management requirements.

Requirements:

• Degree in Law, Business Administration, or a related field.
• At least 10 years of relevant experience, preferably with a corporate service provider or in a similar in-house role with multi-jurisdictional experience.
• Strong knowledge of statutory filings and regulatory compliance in offshore jurisdictions.
• Ability to communicate clearly and collaborate effectively with internal and external stakeholders.
• Able to work independently and complete projects on time with minimal supervision.
