Objectives:

As a member of PPIS’s dynamic Senior Management Team, the director’s main role is to devise and implement an effective plan to communicate and market the vision, mission and strategic goals of PPIS to both the internal and external audience.

The division and/or departments under this director’s purview include business excellence, corporate communications, fundraising, marketing, research and community engagement as well as volunteer management among others.

The division and/or departments under the director’s lead is expected to attain and maintain certifications in business excellence, devise and implement a comprehensive marketing strategy including but not limited to brand management, communications, content management for social media, newsletters and website, devise and implement and effective fund raising strategy to raise funds according to set targets, devise and implement effective community engagement strategies such as membership and volunteer management programmes, manage and maintain excellent internal communications, media relations as well public affairs.

Job Responsibilities:

Community Engagement

• Devise and implement an effective plan for community engagement such as membership and volunteer programmes as well research on women to operationalize, which is in line with PPIS’ strategic goals
• Lead team effectively by building and maintaining good relationship with direct reports
• Devise and implement a training plan for the team to ensure continuous upgrading of skills to excel in their tasks, in line with PPIS strategic goals
• Manage the allocated budget for community engagement

Corporate Communications

• Devise and implement an effective marketing and communications plan to operationalise for both internal and external audience, in line with PPIS’ strategic goals
• Ensure plan is consistent across all departments and divisions within PPIS
• Establish a media monitoring plan on sectors important to PPIS including but not limited to early childhood education, social services, Muslim community, women
• Lead team effectively by building and maintaining good relationship with direct reports
• Supervise and delegate the tasks of the Corporate Communications team in line with communications plan
• Devise and implement a training plan for the team to ensure continuous upgrading of skills to excel in their tasks, in line with PPIS strategic goals

Fundraising

• Devise and implement and effective fund raising strategy to raise funds according to set targets
• Lead team effectively by building and maintaining good relationship with direct reports
• Supervise and delegate the tasks of the fund raising team in line with communications plan
• Devise and implement a training plan for the team to ensure continuous upgrading of skills to excel in their tasks, in line with PPIS strategic goals
• Manage the allocated budget for fundraising

Qualification & Job Requirements

• Masters Degree, preferably in Communications, Journalism, Marketing or MBA
• At least 10 years' experience in corporate communications, marketing or journalism
• Experience in the social services or not for profit industry with a focus on project management is preferred
• Proven leadership competencies to drive teamwork, creative problem solving, flexibility, results driven, interpersonal skills, negotiating
• Exceptional communication and presentation skills (written, oral, listening, influencing, coaching, strategic communication planning)

We are looking for Head of Corporate Secretarial who will report to the Country Head of Sleek Singapore and be part of the management team. Given below the Mission and Outcomes over the next 6-12 months.

Mission: The Head of Corporate Secretarial leads the team in transforming and automating processes while ensuring regulatory compliance and team competency through structured training. They are responsible for hiring, team development, and driving the business unit's profitability, with a focus on delivering client satisfaction through accuracy and efficiency.

The Corporate Secretarial Executive will work closely with the Executive Director and Managers in the Corporate Secretarial (CoSec) department to provide overall management of the corporate secretarial work and facilitation as well as internal services of the corporate level and the external liaison work.

Key Responsibilities:

• Handle a portfolio of local private limited companies and branches of foreign companies with minimal supervision.
• Manage all corporate secretarial work related to your portfolio including preparing necessary documents/resolutions, bizfiling, updating statutory registers, liaising with clients, etc.

• Prepare weekly consolidated cash flow forecasts for short- and medium-term needs.
• Assist with the preparation of directors’ and shareholders’ resolutions.
• Ensure compliance with statutory filing requirements.
• Support audit processes by preparing necessary bank and director confirmations.
• Assist in the preparation of monthly management reports and annual financial statements in line with group standards.
• Coordinate with Legal on banking agreements and negotiate terms with banks.
• Any other duties as assigned.

Requirements

• Min Degree in Accounting or equivalent
• Min 5 years’ relevant working experience
• Good knowledge/experience in treasury is a bonus.

We are currently seeking a high caliber candidate to join our Corporate Services team as Corporate Secretary.

• Board and Committee Support:Organize and schedule board and committee meetings.
  Prepare meeting agendas, minutes, and resolutions.
  Ensure that accurate records of meetings and decisions are maintained.
  Provide the board and its committees with necessary documentation and reports for decision-making.
  
• Corporate Governance:Advise the board on corporate governance matters and best practices.
  Ensure the organization complies with applicable laws, regulations, and internal policies.
  Facilitate board training and orientation programs.
  Oversee the proper administration of board elections and annual general meetings (AGMs).
  
• Regulatory Compliance:Ensure the company meets its statutory and regulatory requirements (e.g., filing annual reports, maintaining statutory registers).
  Act as the main point of contact for regulatory bodies and government agencies.
  Monitor legislative changes and ensure that the company adjusts to new regulatory developments.
  
• Records and Documentation Management:Maintain and update statutory books, including registers of shareholders, directors, and officers.
  Ensure proper safekeeping of corporate records, including charters, bylaws, and amendments.
  Administer shareholder relations, including managing shareholder communications and distributing dividends or proxies.
  
• Stakeholder Communication:Serve as a key liaison between the board of directors and shareholders.
  Handle sensitive and confidential information, facilitating clear communication on critical issues.
  Manage relations with investors, handling their inquiries and concerns.
  
• Legal and Risk Management:Provide legal and strategic advice to the board on corporate matters.
  Manage litigation, contracts, and other legal risks in collaboration with internal or external counsel.
  Ensure the company's risk management policies are current and effective.
  
• Other Duties:Support the company’s ethical standards and ensure compliance with ethical guidelines.
  Assist with mergers, acquisitions, and restructuring activities as needed.
  Oversee the company's annual report and other corporate filings.
  

Qualifications:

• Diploma, degree or other professional qualification in a related discipline such as legal studies, business administration, or accountancy
• ICSA qualification (or currently pursuing the ICSA qualification)
• Good knowledge of Singapore Companies Act and ACRA requirements
• 3 years or more of experiece is corporate secretarial experience in a corporate secretarial, accounting, law firm or listed company will be an advantage
• Knowledge of local and international corporate law, tax, and regulatory frameworks.
• Proven experience as a corporate secretary or in a related legal/compliance role.
• Excellent organizational, communication, and interpersonal skills.
• High level of integrity and ability to handle confidential information.
