Purpose and Scope

Scrutinize and review major investments and advise on legal risk in industrial parks, ready built factories/warehouses (RBF/RBW) and commercial and residential property projects including M&A / divestments, corporate restructuring, leases and other contracting requirements for day-to-day business.

Key Roles and Responsibilities

• Advising on Joint Venture matters (including JV governance).
• Liaise with business units on governance and compliance related matters in respect of frameworks and policies initiated by the Sembcorp Group Legal and Group Ethics & Compliance function (including anti-bribery/corruption) supporting the rollout of these policies (including assistance with training) and implement and monitor compliance on such policies and frameworks.
• Assess the impact of new/amended regulations on the business and present to the managements appropriate steps that may be taken in countering the impact and/meeting legal requirements.
• Participate actively in front line negotiations and interface with customers, business partners, suppliers, contractors etc.
• Work with Sembcorp Urban and Sembcorp Group functional teams i.e. Finance, Business Development, Procurement and other corporate services units in identifying, mitigating and managing legal and compliance risks on activities, businesses and projects.
• Understanding the commercial objectives, strategy, pressure points of the business, reasonable operational knowledge with a view to identifying and assessing the risks and legal issues involved, and effectively communicating this to the business unit or project team to enable them to make well-informed business decisions.
• Liaising with external counsel, regulators, and other stakeholders to ensure the Company's legal and regulatory obligations are met.
• Handling pre-litigation legal disputes and inquiries and (where necessary) representing the Company in the litigation and other legal procedures
• Provide legal support and advice to senior management and all internal stakeholders on legal and compliance matters.

Qualification, Skills, and Experience

• Bachelor’s degree in laws (or equivalent) and admitted as a lawyer in Singapore.
• Minimum 6-8 years of relevant legal working experience. Experience working in the real estate industry on cross border matters and working with an international multi-national company would be an advantage.
• Experience with projects in Indonesia, Vietnam or India and/or ability to speak Bahasa Indonesia or Vietnamese would be an advantage.
• Excellent communication skills in English (written and spoken)
• Good knowledge of commercial law especially land law, the law on enterprises, the law on investment. Knowledge and experience with cross border transactions would be an advantage. Experience with corporate structuring in a property business would be an advantage.

audax is looking for a proactive solutions-focussed commercial lawyer with financial services experience, gained in either a law firm or with a financial institution, to join us as Head of Legal. You would ideally have experience handling a wide range of legal matters and are comfortable providing senior management complex, multi-jurisdictional legal guidance. The scope of work will include drafting and negotiating various legal documents, advising on product and commercial structuring, partnership arrangements, relevant regulatory matters, establishment and implementation of governance and compliance processes, and oversight of corporate secretarial services.

What you will be doing:

Strategy and Advisory

• Overall responsibility for legal matters and managing audax’s legal requirements.
• Work in alliance with audax management team and SC Ventures Legal to ensure compliance by audax and its directors with (i) relevant regulatory requirements, (ii) privacy laws, (iii) outsourcing requirements and (iv) any other policies, standards, and guidelines applicable to audax.
• Provide general corporate, and commercial legal directions across the business, supporting its needs in Singapore and elsewhere as it expands into new territories.
• Drafting and negotiating a range of commercial agreements, including but not limited to software development, SaaS, data transfer, strategic partnerships, product-specific terms, and terms of use for audax’s platform.
• Work closely with stakeholders to structure and develop products and services constructs s from scratch, including reviewing and working through process flows and understanding complexities of the relevant products and technology and provide legal and regulatory insight and expertise on existing and developing business propositions.
• Advising on legal and regulatory matters (including licensing) associated with transactions, partnership and product structure, operations, and entry into new markets, including IP and data privacy/ protection.

Risk Management and Governance

• Execute the relevant aspects of the Legal policies through robust independent risk control and the provision of specialist advice and constructive challenge in a manner proportionate to the nature, scale, and complexity of audax’s business
• Ensure that legal risks are identified and mitigated, or are raised and risk-accepted by SC Ventures and appropriate legal templates are developed and used for dealings with third parties with adequate protections and remedies to address end-to-end product risks, and ensure that transactions with third parties are valid and enforceable under relevant laws
• Keep updated on relevant changes in law and regulations, shifting industry or market practices and litigation affecting audax.

Corporate Secretarial & Board Support

• Prepare monthly tax provisions for Singapore entities.
• Prepare and liaise with external tax consultants on Tax Risk Management & Control Framework for Corporate Income Tax (“CTRM”) for Singapore and similar Corporate Tax Governance Framework for the APAC region.
• Prepare responses to information requests by tax authorities.
• Assist with the implementation of BEPS-related compliance and processes for the APAC region, including collaborating with cross-functional teams to streamline existing processes and systems.
• Collaborate with IT teams and/or external system developers to translate business/tax requirements into IT solutions, as well as to test and implement tax technology solutions for BEPS-related compliance.
• Prepare training materials for cross-functional teams and users on process change improvements ensuring awareness and adherence to BEPS requirements.
• Keep abreast of changes and/or developments in tax laws and administrative practices for APAC, including BEPS-related developments, and analyse the corresponding implications.
• Maintain comprehensive documentation of work processes and internal controls/procedures for corporate tax and BEPS compliance for the APAC region.

1. Corporate Tax Advisory

• Advise on corporate tax matters, optimize the Group’s tax position and identify potential tax savings opportunities for the APAC region.
• Participate in various global and regional tax projects, including tax automation initiatives.
• Participate in tax incentive initiatives including liaising with the relevant government agencies and monitoring compliance with tax incentive conditions.

Job Summary:

The Assistant Manager of IT Support / Senior IT Executive will support the IT team in overseeing the day-to-day operations of the hotel group’s IT systems. This role will be responsible for maintaining and optimizing IT infrastructure, providing technical support, and assisting in the implementation of IT projects across the group’s properties. The position requires hands-on experience in managing IT systems, troubleshooting, and ensuring that technology supports both operational efficiency and guest satisfaction.

Key Responsibilities:

1. IT Operations and Support:

• Assist in the management of daily IT operations, including monitoring systems, networks, servers, and storage across hotel properties.
• Provide technical support to hotel staff and corporate employees, ensuring timely resolution of IT-related issues.
• Maintain and update IT systems to ensure their optimal performance and security.

2. IT Project Support:

• Assist in the execution of IT projects, including upgrades to systems like Property Management Systems (PMS), Point of Sale (POS), and guest-facing technologies.
• Collaborate with the IT Manager and other stakeholders to ensure IT projects are completed on time and within scope.

3. Cybersecurity and Compliance:

• Support the implementation of cybersecurity measures to protect the company’s IT environment from internal and external threats.
• Assist in performing security audits and vulnerability assessments to ensure compliance with corporate policies and relevant regulations (e.g., GDPR, PCI DSS).

4. Infrastructure Maintenance:

• Assist in the configuration, maintenance, and monitoring of IT infrastructure, including servers, networks, and cloud solutions.
• Ensure the integrity, security, and availability of IT systems through regular backups, patch management, and system monitoring.

5. Technical Support and Troubleshooting:

• Provide first-level support for technical issues encountered by hotel properties, ensuring efficient troubleshooting and escalation when necessary.
• Work closely with hotel IT teams and third-party vendors to resolve system and hardware issues.

6. Vendor Management:

• Assist in managing relationships with IT vendors, service providers, and contractors to ensure effective delivery of IT services and solutions.
• Assist in evaluating new technology solutions and recommend improvements to current systems where needed.

7. Reporting and Documentation:

• Maintain accurate documentation of IT systems, configurations, processes, and troubleshooting guides.
• Prepare and submit regular reports on system performance, incidents, and project progress.

Qualifications:

• Education: Diploma or Bachelor’s degree in Information Technology, Computer Science, or a related field.
• Experience: 3-5 years of experience in IT management or systems administration, preferably in the hospitality industry.
• Technical Expertise: Strong knowledge of IT infrastructure (e.g., networks, servers, storage) and experience with hotel-specific systems like PMS and POS.
• Problem-solving Skills:Ability to diagnose and troubleshoot technical issues efficiently.
• Communication Skills: Strong interpersonal and communication skills for collaborating with internal teams and external vendors.

Preferred Skills:

• Experience with hospitality systems and applications (e.g., PMS, POS, guest experience technologies).
• Familiarity with cloud computing, cybersecurity best practices, and IT compliance standards.
• Certifications such as CompTIA A+, Network+, or Microsoft Certified Systems Administrator (MCSA) are a plus.

•       The incumbent will be one of the team members to support the preparation and submission of MAS regulatory reports.
•       Adapt and cater for constant developments within the regulatory framework and to advise and guide business units towards the proper and timely compilation of the required data.
•       Collaborate with Compliance, IT and various stakeholders on regulatory reporting matters and implement regulatory changes including comments on consultation papers.
•       Assist with MAS information requests and queries on MAS returns.
•       Liaise with external/internal auditors and tax agent.
•       Regular review of all processes to ensure operational risk and high risk audit points are mitigated.
•       Ensure all policy documents are regularly updated to reflect current market conditions.
•       Develop high performance culture as part of broader aspiration to build the finance regulatory reporting function.

KEY RESPONSIBILITIES:
Strategy and Planning
•       Provide support to Team Lead.
•       Review and implement financial accounting and control function in accordance with GAAP/Accounting Standard.
•       Ensure compliance to policies, procedures and guidelines set by Group and MAS/regulators.
•       Participate in regulatory related projects.
Statutory and Compliance Reporting
•       Liaise with internal and external auditors in the periodical audit of financial reports.
•       Oversee year-end audit and supervise the preparation of statutory accounts.
•       Prepare and review reports for submission to MAS and other regulators.
•       Assist/advise other SBUs/SFUs in providing the required statutory and compliance reports.
Others
•       Attend to any adhoc report requested from the management or regulator etc.
•       Involvement in new initiatives/facilitates implementation of new guidelines related to financial accounting and reporting matters.
